2017 4 48 From General Principles of the Civil Law to General Provisions of the Civil Law A Classification of Legal Person on the Basis of Functionalism Zhang Xinbao Abstract The General Principles of the Civil Law establishes the classification of enterprise legal person and non - enterprise legal person and the subsequent specific laws retains this classification. In the process of enacting the General Provisions of the Civil Law certain scholars propose that the classification of legal person in Germany in which the legal person has been classified into incorporated association and incorporated foundation shall be taken as the basic classification of legal person in China. However rather than accepting this theoretical opinion the lawmaker insists on the original classification by summarizing the legislative achievements of the General Principles of the Civil Law and classifies legal person into for - profit legal person non - profit legal person and special legal person. By taking into account the social function of different legal persons and starting from the function of system construction and the realization of normative function this classification is exhaustive and self - sufficient in formal logic. The system of legal person established by the classification has its openness and mobility and easily establishes its links with other laws thereby fully playing different functions of different legal persona and facilitating public administration. At the same time the functionalist classification of legal person also has common characteristics with the structuralist classification of legal person and we shall not make these two classifications become antagonistic.
