Abstract Basing on the outlines of basic principles of conception, basic structure and operational mechanism of asset securitization, first, the dissertation analyzes the profit that brings to the all the participators of asset securitization, then analyze requirements for satisfying with benefit and matters for attention that put asset securitization into practice. What is more, the dissertation analyzes the risks of asset securitization in the process of practice and it puts forward measures of controlling the risks. Second, it makes the necessity and feasibility study in the practice of China. Finally, it discusses the risks that puts asset securitization into practice, and puts forward the measures that avoid the risk of asset securitization in China. 3
