Despite its relative youth, this regime has matured rapidly over the last five years and is now a key consideration for businesses and their counsel as they contemplate and plan their M&A transactions. Although much progress has been made by China in developing the legal framework and procedural aspects of the regime, there is some uncertainty in relation to some fundamental aspects of its application. The speakers on this panel include current and former regulators, private practitioners, in-house counsel and economists. The panel will discuss the substantive and procedural aspects of China's merger control regime, taking a comparative approach towards key aspects of the merger review process in China (e.g. the jurisdictional thresholds, substantive review standards and review timeline, etc) as compared to that of other jurisdictions. The panel will examine how the European Commission and US, Canadian and other government authorities assess transactions involving Chinese companies and in particular, State-Owned Enterprises in the context of their merger control regimes, and the legal and practical implications of such assessments for these companies. During 2012, the State Administration for Industry & Commerce released the latest draft of its IP/AML guidelines for public comment. The Ministry of Commerce has also addressed IP-specific issues, like licensing

(Antitrust and Intellectual Property in Chin cont.) conduct in its merger enforcement decisions, for example in its conditional clearance of Google s acquisition of Motorola Mobility. How may these recent developments affect business conduct in China? What role will the AML play in the ongoing development of China s innovation policies? How do the views of Chinese agencies regarding competition policy and intellectual property compare with those of their counterparts in the U.S. and Europe for example, on issues such as duties to deal (license), essential facilities, and application of competition law to breaches of IP licensing commitments established in the standard-setting context? What do businesses Chinese and foreign companies doing business in China, licensors and licensees alike need to know about Chinese competition and IP policies? Tencent and Huawei v. InterDigital), panelists will discuss strategies for bringing and defending abuse of dominance cases in China, as well as best practices for companies that face the risk of an investigation or litigation regarding alleged abuse of dominance, and consider (a) definition of geographical market, (b) definition of product market and (c) intellectual property in the context of abuse of dominance claims. (2) Large minority interests and intra-group/joint venture agreements - What should be the appropriate treatment under the AML of minority interests, joint venture and intra-group agreements, and especially of ancillary restraints common to such arrangements? Such ancillary restraints may include pricing components, and may also be characterized as vertical restraints. What specific rules, if any, under the AML should be established for these situations? When may relationships such as minority interests and intra-group or JV agreements constitute a defense to charges of AML violation by vertical pricing and other restraints? (3) Industry antitrust exemptions and immunity - The AML in Article 15 provides for exemptions to the law, but has no express provisions for immunity from the law. Airlines have been in the forefront recently seeking immunity from the AML for proposed alliances, which raises the fundamental question of whether antitrust immunity is a good idea, and if yes, when. If immunity is granted, what conditions, if any, should be placed on that immunity? How do you resolve the potential conflict of interests between the AML and industry regulation, especially in the context of industries dominated by state-owned enterprises? In China, courts have proceeded with caution thus far under the Antimonopoly Law, but there have been a number of cases already filed in courts throughout China, including one that has received significant media attention (360 v. Tencent). Though the likelihood of trials is increasing, the Chinese legal system is just now determining how it will structure such trials, and is developing the applicable procedures and law. Many jurisdictions outside of China have had a long experience with criminal and civil antitrust trials. In the United States, trial verdicts are frequently decided by lay juries, which vote to determine both liability and damages. In Europe and elsewhere, antitrust trial decisions are usually left to judges. In any case, antitrust trials are typically vast, complex, and long-running, involving extensive evidence-gathering, sophisticated expert testimony by economists, and the application of a highly evolved body of law. This program will present a mock trial of a civil antitrust dispute. Each of the two trial teams will consist of two trial lawyers, one from China and one from the U.S. The trial will follow the general format of a U.S. jury trial, and involve the presentation and cross examination of fact and expert witnesses. A U.S. federal judge will preside over the trial. Following the mock trial, a panel consisting of the U.S. Judge, a Chinese judge and an E.U. practitioner will provide commentary, highlighting how the different systems conduct antitrust trials.
