This represents a major stride made by HKIAC to promote international arbitration services on the mainland. The launch of HKIAC s Shanghai office marks the beginning of a new chapter of arbitration in mainland China, since it is the first time an offshore arbitration institution has set up a formal presence on the mainland. The Shanghai office is located within the China (Shanghai) Pilot Free Trade Zone, which has been designated by the State Council as an area to support the introduction of internationally renowned commercial dispute resolution institutions. The office is headed by HKIAC s Deputy Secretary-General, Liu Jing, who has been facilitating HKIAC s on-the-ground support for its Chinese users for many years. The Shanghai office is HKIAC s second overseas presence. 2

An opening ceremony was held. CIETAC Zhejiang Branch is the sixth sub-branch of CIETAC after Huanan Shanghai, Tianjin, Xinan and Hong Kong sub-branchs were established. Zhejiang is an important economic zone in China. It has top-tier import and export amounts and the most prosperous private business in mainland China. The July injunction had frozen approximately $2.5million in Hong Kong based assets in relation to defendant s alleged breach of an iron ore shipping and sales agreement. Plaintiff accomplished the injunction pursuant to 21M of the High Court Ordinance, which acts in support of substantive proceedings outside of Hong Kong and which either are imminent or have already begun. 21M of the High Court Ordinance also requires an applicant to demonstrate a good arguable case that the foreign proceedings may lead to a judgment enforceable in Hong Kong. Defendant averred that Hong Kong s Section 45 of its Arbitration Ordinance was the only proper source of power for an injunction, but Plaintiff not only made its application for injunction under 21M, but failed to disclose to the Hong Kong court the full criteria to prevail under 4
5 Section 45. Additionally, Defendant challenged whether Hong Kong was an appropriate forum for interim relief over Singapore. 在 本 案 中, 被 申 请 人 针 对 香 港 法 院 颁 布 的 临 时 禁 令 及 是 否 可 以 延 期 等 事 宜 提 出 了 若 干 抗 辩, 其 中 包 括 : 申 请 人 错 误 适 用 香 港 高 等 法 院 条 例 第 21M 条, 而 应 适 用 香 港 仲 裁 条 例 第 45 条 ; 申 请 人 的 申 请 并 不 符 合 香 港 仲 裁 条 例 第 45 条 的 规 定 ; 香 港 法 院 并 非 对 新 加 坡 仲 裁 采 取 临 时 禁 令 的 合 适 的 法 院 ;ICC 对 仲 裁 案 件 无 管 辖 权, 等 等 香 港 法 院 在 该 项 决 定 中, 认 为 应 当 适 用 高 等 法 院 条 例 第 21M 条, 因 为 在 向 香 港 法 院 提 出 临 时 禁 令 申 请 时, 申 请 人 并 未 提 起 任 何 仲 裁 请 求, 故 特 别 适 用 于 仲 裁 程 序 的 仲 裁 条 例 第 45 条 不 应 适 用, 而 应 适 用 第 21M 条 Plaintiff was able to attain its injunction in Hong Kong but not Singapore because Hong Kong applied its own standard, which evaluated whether Defendant s conduct was of such unacceptably low commercial morality that there might be a real risk of dissipation of assets. Judge Chan stated that jurisdiction was a matter for the Tribunal itself, but circumstances might develop such that Hong Kong Court might even enforce the award of an ICC Singapore panel. Nonetheless, Judge Chan upheld the injunction according to a critical distinction; primary jurisdiction would go to the soon-to-be empaneled Singapore Tribunal, and not Singapore s courts. Under the facts, Judge Chan may have very easily found an excuse to unravel the injunction; the Plaintiff failed its request for interim relief in the supervisory courts of Singapore, it delayed releasing $500,000 of funds to Defendant pursuant to the interim order, and it even referred the arbitration to the ICC instead of SIAC in apparent contravention of the arbitration clause. Nevertheless, the Judge focused primarily on whether the asset freeze was merited under the available facts, and whether it, or further intervention, would assist the Tribunal. Judge Chan thereby clarified that 21M of the High Court Ordinance is applicable to applicants in situations when an arbitration clause governs but the arbitration has not yet commenced. 5

SITL Case In a contract dispute between Shanghai Golden Landmark Co. Ltd (hereinafter as Golden Landmark ) and SIEMENS International Trade Co. Ltd (hereinafter as SITL ), Golden Landmark filed an arbitration application to SIAC, and SIEMENS soon filed a counterclaim against Golden Landmark. SIAC made an award which was in favor of SITL and dismissed all the claims of Golden Landmark. SITL later applied to Shanghai First Intermediate People s Court (hereinafter as the Court ) for recognize and enforce the award, Golden Landmark challenged the application by stating that the arbitration agreement between the parties was invalid, so the award should not be recognized and enforced according to Article V (1) (a) of the New York Convention. The Court dismissed Golden landmark s challenge and made a final decision to recognize and enforce the award in China. The major arguments of Golden Landmark were: 1. The arbitration agreement between the parties was 6
7 国 内 地, 本 案 纠 纷 无 任 何 涉 外 因 素, 当 事 人 无 权 将 没 有 任 何 涉 外 因 素 的 纠 纷 提 交 外 国 仲 裁 机 构 进 行 仲 裁 根 据 纽 约 公 约 第 五 条 第 ( 一 ) 款 ( 甲 ) 项, 第 二 条 所 称 协 定 之 当 事 人 依 对 其 适 用 之 法 律 有 某 种 无 行 为 能 力 情 形 者, 或 该 项 协 定 依 当 事 人 作 为 协 定 准 据 之 法 律 系 属 无 效, 或 未 指 明 以 何 法 律 为 准 时, 依 裁 决 地 所 在 国 法 律 系 属 无 效 者, 仲 裁 裁 决 应 当 被 拒 绝 承 认 和 执 行 ; 第 二 承 认 和 执 行 仲 裁 裁 决 将 会 违 反 中 国 公 共 政 策 ; 第 三 SIAC 作 出 的 仲 裁 裁 决 存 在 实 体 性 的 错 误 invalid because in a contract dispute which did not contain any foreign elements. Therefore the parties were not entitled to commence arbitration in front of a foreign arbitration institution according to current Chinese law. Hence, an award rendered based on an invalid arbitration agreement shall not be recognized and enforced under the New York Convention; 2. Recognizing and enforcing the award would be contrary to the public policy of China; 3. With regard to the first issue, the Court decided that the arbitration agreement was valid. 8 人 对 于 仲 裁 协 议 的 效 力 及 仲 裁 管 辖 权 是 认 可 的 其 次, 上 海 市 一 中 院 认 为 SIAC 作 出 的 裁 决 内 容 并 没 有 与 我 国 公 共 政 策 相 抵 触 之 处 而 对 于 裁 决 的 实 体 性 错 误 问 题, 法 院 认 为 并 不 在 其 审 理 范 围 之 内 上 海 一 中 院 作 出 的 承 认 和 执 行 SIAC 仲 裁 裁 决 的 裁 定 一 发 出 即 引 起 广 泛 关 注, 尤 其 在 涉 外 因 素 的 认 定 上 作 出 的 突 破 性 解 读 得 到 业 界 人 士 的 肯 定 不 少 人 将 该 案 与 早 年 北 京 朝 来 新 生 案 裁 定 相 比 较 在 北 京 朝 来 新 生 案 的 裁 定 中, 法 院 最 终 认 定 合 同 纠 纷 无 涉 外 因 素, 并 进 一 步 认 为 根 据 国 内 法, 当 事 人 无 权 约 定 将 没 有 任 何 涉 外 因 素 的 纠 纷 提 交 外 国 仲 裁 机 构 裁 决, 从 而 否 认 了 当 事 人 之 间 仲 裁 协 议 的 效 力, 拒 绝 承 认 和 执 行 大 韩 民 国 商 事 仲 裁 院 的 裁 决 而 本 案 中, 上 海 一 中 院 综 合 考 虑 了 合 同 主 体 合 同 履 行 过 程 中 的 涉 外 特 点, 把 本 案 合 同 纠 纷 识 别 为 可 以 认 定 为 涉 外 民 事 关 系 的 其 他 情 形 的 涉 外 民 事 法 律 关 系, 进 而 使 当 事 人 约 定 将 争 议 提 交 SIAC 仲 裁 的 仲 裁 协 议 效 力 合 理 化, 避 免 了 仲 裁 裁 决 遭 受 拒 绝 承 认 和 执 行 的 命 运 People's Court on Certain Issues Concerning the Application of the "Law of the People's Republic of China on the Application of Laws to Foreign-Related Civil Relations" (I). 2. As to the second issue, the Court decided that there was no ground or evidence to support that recognizing and enforcing this SIAC award would be contrary to Chinese public policy. 3. In light of Golden Landmark s allegation that there were errors in substantive issues in SIAC s award, the Court decided that it was beyond the situation listed in New York Convention and refused to answer to Golden Landmark s request for alteration of payment of interests in the award. The Court additionally decided that the fact that Golden Landmark had performed part of its obligations under SIAC s award was sufficient to prove that it recognized the legal binding force of the arbitration agreement and accepted jurisdiction of the tribunal. Therefore, based on the principles of good faith and promissory estoppel, the Court shall refuse Golden Landmark s challenge. 由 中國省籍 到 台灣族群 戶口普查籍別類屬轉變之分析 王甫昌 中央研究院社會學研究所 這篇論文有兩個目的 一是釐清台灣戶口普查中籍別類屬形成與 轉變的歷史 社會 與政治過程 二是定位籍別類屬在戰後台灣政治 與社會體制中的意義與角色 特別是它與當代台灣族群關係的關連 針對第一個目的 本文首先探究歷次戶口普查中 籍別項目的統計類 屬與統計方式之變化 除了將籍別類屬變化區分為四個階段之外 也 經由歷史材料分析
