一 办 学 情 况 简 介 ( 一 ) 项 目 简 介 及 特 色 爱 迪 生 中 加 友 好 实 验 班 ( 以 下 简 称 中 加 班 ) 经 福 建 省 教 育 厅 正 式 批 准 ( 闽 教 合 作 [2005]96 号 ) 于 2006 年 由 福 州 三 中 与 加 拿 大 爱 尔 德 格 拉 夫 中 学 合 作 开 办, 这 是 福 州 三 中 优 良 的 教 学 设 施 优 秀 的 师 资 队 伍 和 加 拿 大 先 进 的 英 语 教 学 能 力 教 育 素 质 教 育 相 结 合 的 强 强 合 作 优 势 互 补 的 典 范 中 加 班 是 在 福 州 三 中 法 人 单 位 下 的 非 法 人 中 外 合 作 办 学 项 目 双 方 通 过 合 作 协 议 明 确 各 自 的 权 利 和 义 务 福 州 三 中 中 加 班 项 目 在 贯 彻 执 行 国 家 教 育 方 针 的 基 础 上, 探 索 高 中 教 育 与 国 际 接 轨, 引 进 剑 桥 国 际 高 中 A-Level 课 程 及 美 国 AP 课 程 的 教 学 体 系, 全 面 提 高 学 生 的 外 语 能 力 思 辨 能 力 行 为 能 力 和 领 导 能 力, 培 养 既 有 扎 实 的 中 国 基 础 教 育 功 底 又 具 有 国 际 视 野 和 未 来 发 展 潜 力 的 优 秀 高 中 生 ( 二 ) 办 学 规 范 情 况 根 据 中 华 人 民 共 和 国 中 外 合 作 办 学 条 例 以 及 中 华 人 民 共 和 国 中 外 合 作 办 学 条 例 实 施 办 法 等 有 关 规 定, 福 州 三 中 中 加 班 项 目 自 实 施 以 来, 始 终 按 照 教 育 部 关 于 当 前 中 外 合 作 办 学 若 干 问 题 的 意 见 教 育 部 关 于 进 一 步 规 范 中 外 合 作 办 学 秩 序 的 通 知 等 文 件 要 求, 在 招 生 教 育 教 学 及 学 生 管 理 等 环 节 上 都 制 定 了 完 备 的 管 理 制 度, 并 严 格 照 此 执 行 1 招 生 和 学 籍 管 理 中 加 班 每 年 按 一 级 达 标 校 要 求, 面 向 福 州 市 区 独 立 招 生 ( 招 生 代 码 6010371) 中 考 总 分 最 低 控 制 线 在 市 区 普 高 第 一 投 档 线 下 20 分 教 育 厅 批 准 每 年 招 生 指 标 有 145 人, 但 三 中 中 加 班 2006-2010 年 实 际 每 年 招 生 数 不 超 过 90 人 引 进 国 际 高 中 课 程 的 头 三 年 (2011 2012 2013), 为 保 证 质 量, 同 时 引 进 课 程 ( 中 加 班 是 我 省 第 一 所 经 省 教 育 厅 批 准 引 进 国 际 高 中 课 程 的 学 校 ) 需 要 有 一 定 时 间 的 探 索 和 磨 合, 中 加 班 这 三 年 每 年 只 招 生 45-50 人 2014 年 起 开 始 恢 复 一 届 90 人 的 招 生 规 模, 同 时 计 划 在 2015 年 继 续 按 90 人 办 学 规 模 招 收 2 资 金 管 理 2007 年 经 省 物 价 局 财 政 厅 教 育 厅 批 准 ( 闽 价 费 [2007]325 号 ), 中 加 班 学 费 为 20000 元 / 年 生, 引 进 A-LEVEL 国 际 高 中 课 程 后,2012 年 秋 季 新 生 学 费 调 整 为 42000 元 / 年 生 ( 榕 价 费 2012 45 号 ) 根 据 合 作 协 议, 学 生 学 费 按 中 方 60% 外 方 40% 分 配 各 自 的 办 学 成 本 支 出 各 自 承 担 学 费 统 一 收 到 财 政 户 头, 并 由 教 育 局 结 算 中 心 按 规 定 支 出 中 方 支 出 主 要 用 于 教 学 环 境 改 造 及 教 学 实 验 设 备 实 验 耗 材 的 投 资, 外 方 的 支 出 主 要 是 引 进 国 际 课 程 和 外 语 课 程 聘 请 所 有 外 教 中 教 及 管 理 人 员 的 开 支 以 及 相 关 管 理 办 公 费 用 和 教 学 器 材 设 备 的 投 入 3 文 凭 证 书 管 理 中 加 班 学 生 完 成 三 年 高 中 课 程, 参 加 全 省 基 础 学 业 会 考, 成 绩 合 格 后 取 得 福 州 三 中 高 中 毕 业 文 凭 达 到 国 际 高 中 课 程 要 求 并 通 过 A-LEVEL 考 试 的 学 生 同 时 可 以 取 得 由 英 国 剑 桥 考 试 委 员 会 颁 发 的 国 际 高 中 课 程 证 书 通 过 AP 全 球 统 考

的 学 生 可 以 获 得 AP 科 目 成 绩 来 折 抵 海 外 大 学 学 分, 减 免 大 学 课 程 4 资 产 情 况 管 理 中 加 班 学 生 上 课 地 点 在 福 州 三 中 校 内, 与 三 中 所 有 学 生 一 样 可 以 使 用 学 校 的 教 学 设 施 ( 包 括 体 育 运 动 场 地 图 书 馆 实 验 室 等 ) 此 外, 中 加 班 还 配 有 语 音 及 模 拟 考 试 专 用 教 室 和 国 际 课 程 小 班 教 室, 并 建 立 专 用 的 物 理 化 学 实 验 室 中 外 方 各 自 投 入 的 固 定 资 产 按 相 关 规 定 纳 入 各 自 的 固 定 资 产 造 册 管 理 外 方 购 买 的 部 分 设 备 ( 教 室 办 公 室 空 调 ; 专 用 语 音 教 室 网 络 及 电 脑 设 备 等 ) 以 捐 赠 形 式 赠 送 给 学 校 并 纳 入 学 校 固 定 资 产 管 理 ( 三 ) 优 质 教 育 资 源 引 用 情 况 加 拿 大 爱 尔 德 格 拉 夫 中 学 是 一 所 公 立 中 学, 双 方 合 作 协 议 包 含 了 教 师 学 生 的 交 流, 国 际 课 程 的 认 证 并 提 供 课 程 质 量 的 评 估 体 系 等 加 方 委 托 加 拿 大 加 信 教 育 中 心 负 责 国 内 的 具 体 合 作 事 宜 加 信 教 育 机 构 在 国 内 参 与 多 所 中 学 大 学 的 合 作 办 学 项 目, 并 负 责 与 美 国 大 学 理 事 会 英 国 剑 桥 考 试 委 员 会 就 引 进 国 际 课 程 和 参 加 国 际 化 考 试 联 络 并 处 理 相 关 事 宜 中 加 班 于 2009 年 获 得 美 国 大 学 理 事 会 (College Board) 批 准 成 为 福 建 省 首 家 AP 课 程 (Advanced Placement-- 美 国 大 学 先 修 课 程 ) 的 授 权 教 学 点, 并 开 设 微 积 分 物 理 经 济 学 等 三 个 学 科 六 AP 系 列 课 程 学 生 每 年 5 月 可 参 加 美 国 大 学 理 事 会 组 织 的 全 球 统 一 考 试 为 更 好 落 实 福 建 省 中 长 期 教 育 改 革 和 发 展 规 划 纲 要 (2010-2020 年 ) 提 出 的 鼓 励 有 条 件 的 高 中 积 极 稳 妥 地 引 进 国 际 课 程, 福 州 三 中 中 加 班 从 2011 年 秋 季 开 始, 在 完 成 国 家 必 修 课 程, 组 织 学 生 参 加 全 省 高 中 学 业 基 础 会 考, 取 得 规 定 毕 业 学 分 的 同 时, 引 进 被 国 际 教 育 界 誉 为 金 牌 教 育 课 程 和 全 球 大 学 入 学 的 金 牌 标 准 (British Golden Education System) 的 A-level 国 际 高 中 课 程 并 经 省 教 育 厅 批 准 福 建 省 教 育 厅 关 于 同 意 福 州 三 中 中 加 合 作 项 目 引 进 国 际 高 中 课 程 的 批 复 ( 闽 教 合 作 2012 124 号 ) 经 英 国 剑 桥 大 学 考 试 委 员 会 (CIE) 的 严 格 审 查, 福 州 三 中 获 得 授 权 批 准 的 福 建 省 第 一 家 A-Level 课 程 的 教 学 和 考 试 点 资 格 三 中 中 加 班 目 前 已 开 设 全 英 文 版 A-level 课 程 体 系 中 的 数 学 物 理 化 学 课 和 经 济 四 门 课 程, 今 后 还 将 逐 步 增 设 A-level 课 程 体 系 中 的 必 修 和 选 修 课 程 IE(Integrated English Course) 英 语 系 列 课 程 是 由 我 校 中 外 任 课 老 师 在 结 合 了 中 国 普 通 高 中 英 语 教 学 大 纲 及 雅 思 托 福 等 国 际 英 语 语 言 类 考 试 的 考 查 目 标 基 础 上, 通 过 9 年 的 摸 索 和 实 践, 联 合 开 发 的 实 用 英 语 系 列 课 程 IE 英 语 系 列 课 程 强 化 了 学 生 在 听 说 读 写 各 个 方 面 的 学 习 和 训 练, 帮 助 学 生 尽 快 提 升 英 语 会 话 交 流 阅 读 写 作 以 及 完 成 国 际 课 程 学 业 的 能 力, 同 时 提 高 了 雅 思 托 福 赛 达 (SAT) 等 国 际 标 准 化 考 试 的 成 绩 学 校 还 利 用 中 加 班 外 籍 教 师 资 源, 对 其 它 班 级 特 别 是 创 新 班 和 理 科 实 验 班 开 设 英 语 口 语 课, 受 到 学 生 普 遍 欢 迎 ( 四 ) 办 学 成 果 及 社 会 效 益 福 州 三 中 通 过 合 作 办 学, 提 高 国 际 化 视 野, 特 别 是 通 过 引 进 数 理

化 等 国 际 课 程, 在 教 材 实 验 教 学 方 式 上 促 进 了 国 内 课 程 和 学 生 培 养 模 式 的 改 革, 逐 步 形 成 具 有 我 校 特 色 的 多 样 化 的 课 程 体 系 和 办 学 模 式, 收 到 良 好 的 效 果 中 方 的 学 费 分 成 也 为 学 校 教 学 设 备 添 置 及 校 园 建 设 提 供 一 定 的 资 金 支 持 中 加 班 自 2006 年 开 办 至 今 已 有 六 届 超 过 400 名 的 毕 业 生, 这 六 届 毕 业 生 中 选 择 海 外 升 学 的 学 生 100% 成 功 获 得 学 生 签 证 进 入 海 外 大 学 深 造, 近 90% 的 学 生 获 得 美 国 百 强 大 学 的 录 取, 近 76% 的 学 生 获 得 世 界 百 强 大 学 的 录 取 信 托 福 雅 思 等 国 际 标 准 化 考 试 结 果 表 明, 中 加 班 学 生 在 英 语 语 言 能 力 的 掌 控 及 运 用 上 均 达 到 海 外 大 学 入 学 要 求 选 择 参 加 托 福 考 试 的 学 生 中, 近 90% 的 学 生 成 绩 在 80 分 以 上, 具 备 了 申 请 美 国 50-100 位 大 学 的 能 力 获 得 90 分 以 上 高 分, 冲 刺 美 国 前 30-50 大 学 的 学 生 超 过 30% 16% 的 学 生 托 福 成 绩 超 过 100 分, 达 到 冲 击 前 美 国 前 30 位 名 校 的 语 言 要 求, 其 中 2014 届 的 肖 炜 熠 同 学 更 是 获 得 了 111 分 的 骄 人 成 绩, 被 美 国 综 合 排 名 第 20 位 的 埃 默 里 大 学 录 取 选 择 参 加 雅 思 考 试 的 同 学 中 最 好 成 绩 为 7.5 分,7 分 以 上 的 约 占 40%, 超 过 ( 含 )6.5 分 以 上 的 约 占 67%, 超 过 ( 含 )6 分 的 同 学 则 到 达 了 大 比 例 的 83% 截 至 2015 年 5 月, 历 届 中 加 班 的 学 生 共 参 加 了 6 次 AP 国 际 考 试,6 次 A Level 全 球 性 考 试, 并 获 得 了 骄 人 的 成 绩 AP 课 程 作 为 大 学 先 修 课 程, 具 有 很 高 的 挑 战 性 中 加 班 学 生 凭 借 良 好 的 英 语 语 言 功 底 及 学 科 优 势, 在 微 积 分 AB BC, 物 理 B C 以 及 宏 微 观 经 济 学 等 考 试 中 发 挥 自 如, 达 到 4 分 以 上 成 绩 的 学 生 占 50%, 5 分 以 上 的 约 占 45% 绝 大 多 数 AP 科 目 成 绩 在 4 分 以 上 的 学 生 都 在 出 国 后 获 得 了 海 外 大 学 一 年 级 相 应 课 程 的 学 分 抵 免 或 免 修 待 遇, 部 分 优 秀 学 生 还 因 此 拿 到 了 大 学 奖 学 金 2011 年 中 加 班 全 省 首 家 引 入 A Level 国 际 高 中 课 程 后, 学 生 们 的 学 习 能 力 亦 得 到 了 巨 大 提 升 据 统 计,AS 阶 段 数 学 物 理 化 学 三 门 学 科 平 均 有 75% 的 学 生 获 得 了 C 等 级 以 上 的 优 异 成 绩 ( 世 界 顶 尖 大 学 的 录 取 要 求 通 常 是 三 门 B 等 级 ) 近 40% 的 学 生 更 是 获 得 了 A 等 级 的 证 书 其 中 2014 届 的 林 川 昊 董 昊 坤 同 学 凭 3 个 A 的 A-level 成 绩, 被 世 界 排 名 23 位 加 拿 大 医 博 类 排 名 第 一 的 多 伦 多 大 学 录 取 2015 届 的 邱 雨 同 学 亦 以 同 样 的 成 绩 被 美 国 圣 塔 巴 巴 拉 英 国 伦 敦 大 学 国 王 学 院 和 加 拿 大 多 伦 多 大 学 录 取 2015 届 的 李 澄 逸 同 学 更 是 凭 借 7.5 分 的 雅 思 总 分 和 3 科 A Level A 等 级 的 好 成 绩 一 举 拿 下 了 加 拿 大 多 伦 多 大 学 罗 特 曼 商 学 院 UBC 尚 德 商 学 院 等 6 所 加 拿 大 顶 级 商 学 院 录 取 多 伦 多 大 学 通 常 要 求 必 须 提 供 中 国 高 考 成 绩, 而 中 加 班 同 学 凭 借 着 A-Level 成 绩 证 书, 免 除 了 这 项 要 求, 并 顺 利 获 得 录 取 事 实 上, 过 去 六 届 中 加 班 毕 业 生 中 就 读 世 界 名 校 的 学 生 数 不 胜 数 美 国 的 埃 默 里 大 学 布 兰 德 斯 大 学 伊 利 诺 伊 大 学 普 渡 大 学 加 州 州 立 戴 维 斯 圣 地 亚 哥 欧 文 圣 塔 芭 芭 拉 大 学 ; 加 拿 大 多 伦 多 大 学 英 属 哥 伦 比 亚 大 学 女 皇 大 学 麦 吉 尔 大 学 滑 铁 卢 大 学 等 世 界 顶 级 大 学 均 录 取 了 众 多 的 中 加 班 学 生 比 较 同 年 参 加 高 考, 升 读 一 些 普 通 本 科 院 校 的 同 学 而 言, 这 些 学 生 在 大 学 毕 业 后 无 论 是 在

CIE Standard Terms of School Registration 1 Length of Agreement and Interpretation 1.1 The agreement between the School and CIE ( the Agreement ) shall come into effect on the Commencement Date and shall end on the first 30 th of September after the Commencement Date unless it is renewed by CIE, at CIE s sole discretion, for a further period of 12 months from the 1 st of October in that and each subsequent year, but this Agreement may be terminated earlier in accordance with Clause 9 (Termination). 1.2 For the avoidance of doubt CIE shall not renew the Agreement unless the School meets the registration criteria for a School, as may be defined by CIE from time to time, at the time of each renewal. 1.3 These terms contain the entire agreement between the School and CIE with respect to its subject except for the following documents, as amended from time to time: 1.3.1 the Handbook; 1.3.2 the relevant Fees schedule; and, 1.3.3 such other regulations, notices and emails as issued by CIE from time to time. 1.4 If CIE has not issued the School with a document forming part of this Agreement (as listed in Clause 1.3) then the School may contact CIE immediately for a replacement. 1.5 This Agreement shall be interpreted in accordance with Clause 15. 2 Obligations of the School 2.1 The School shall carry out its obligations as laid out in this Agreement and the Handbook and in particular shall carry out the duties of a School. 2.2 The School confirms that it has received, read and understood the materials that form the Agreement prior to this Agreement being formed. 2.3 The School shall hold and administer the Syllabuses and Assessments at the School s Premises in accordance with this Agreement and the Handbook. 2.4 The School shall provide every security provision to safeguard the integrity of the Assessments; such security shall be in accordance with the Handbook, the Agreement and CIE s instructions that shall be issued from time to time.

2.5 The School shall comply with all laws, statutes, by-laws and regulations of a governmental nature applicable in the country in which the School is located relating to the operation of the School and the administration of the Assessments. 2.6 Notwithstanding the termination of this Agreement for whatever reason the School shall continue to provide the security provisions as described in Clause 2.4. 2.7 The School shall not be entitled to offer the Syllabuses or the Assessment to any third party directly or through any sales agent, school, sub-licensee or third party. 2.8 In the event of a breach of Clause 2.7, CIE shall have, without prejudice to any other right or remedy available to it in law, the right to treat this as a breach incapable of remedy for the purposes of Clause 9. 3 Rights and Obligations of CIE 3.1 Subject to Clause 3.2, during the duration of this Agreement CIE shall provide the Services. 3.2 CIE shall be entitled in its absolute discretion, and without liability to the School to alter the form, style, content or substance of the Syllabuses, Assessments, Qualifications and Certificates. 3.3 At anytime during the duration of this Agreement CIE may either itself or through its agents or advisors require the School to supply such information relating to the Assessments as may be reasonably requested and allow persons nominated by CIE to inspect relevant extracts of the records and files of the School for the purpose of ensuring the School is complying with its obligations under this Agreement. 3.4 CIE shall be entitled to inspect any of the School s premises or its systems and procedures connected with the delivery of Assessments at any time, including when candidates may be sitting examinations. 4 Payment 4.1 The School shall pay the Fees to CIE in accordance with this Clause 4. 4.2 The School shall pay a registration fee as defined in the Confirmation Letter. 4.3 The School shall pay an annual fee to CIE that shall be defined in the Fees schedule for that year and payment of that annual fee shall be subject to the conditions contained in that Fees schedule. 4.4 The Fees shall be paid by the School to CIE during the duration of this Agreement based on invoices issued by CIE in respect of any Entries for Qualifications during the intervening time period since the last invoice was issued. 4.5 The School shall pay all invoices from CIE within 28 days of the invoice date.

4.6 The Fees schedule may be published by CIE on CIE Direct, emailed to the Centre or provided in hard copy and in all cases this shall be deemed sufficient notice to the Centre of the Fees contained in the Fees schedule. 4.7 CIE shall be entitled to increase any Fees in each year of this Agreement as shown in the Fees list for the relevant year. 4.8 The School shall ensure that no person shall attempt any Assessment until such time as the School has received full payment in respect of the candidate. 4.9 If the School fails to pay any sum due by the due date then CIE shall be entitled without prejudice to any other right or remedy it may have to: 4.9.1 cancel or suspend the delivery of the Services provided CIE shall have given 2 weeks written notice thereof; and, 4.9.2 charge the School interest at a rate of 8% above Barclays Bank plc's base rate per annum from time to time payable daily from the date payment was due until payment is made. 4.10 All payments shall be made by telegraphic transfer to such bank account as may be notified by CIE to the School from time to time. 4.11 The Parties agree that the School shall bear all costs that are due or payable to any national, provincial or municipal authority in relation to this Agreement. 4.12 Each payment payable to CIE hereunder shall be paid by the School without any right of set-off or deduction for any Taxes. 4.13 In the event that the School is obliged to withhold any part of the sums due to CIE, including but not exclusively for tax, the amount of the payment due to CIE shall be increased such that the sum received by CIE shall be that which it would have received had there been no such withholding. 4.14 Notwithstanding Clauses 4.12 and 4.13, the School shall: 4.14.1 remit to the appropriate tax authorities, in a timely manner, all monies required to be withheld from payment to CIE; and, 4.14.2 provide CIE with an official receipt issued by such authorities for payment of such taxes within 28 days of such payment. 5 Marketing of the Syllabuses and Assessments 5.1 The School may promote and market the Syllabuses and the Assessments in the Territory according to the terms set out in the Handbook as amended from time to time or in such manner as CIE may reasonably agree. 5.2 In connection with the promotion and marketing of the Syllabuses and the Assessments, the School shall: 5.2.1 make clear, in all its dealings, and in particular with parents, students and prospective students, its relationship with CIE including that the School is not acting as an agent for CIE;

5.2.2 provide CIE with copies of updates to its promotional materials in relation to the CIE Assessments; and, 5.2.3 from time to time consult with CIE representatives for the purpose of assessing the state of the market in the Territory and permit CIE at its own cost to inspect any premises or administration documents used by the School in connection with the Syllabuses and the Assessments. 6 Intellectual Property 6.1 For the avoidance of doubt the School acknowledges and agrees that all Intellectual Property Rights in the Syllabuses, Assessments, Certificates, Courses, Qualifications and Materials are and shall remain vested in CIE. 6.2 For the further avoidance of doubt, the School may not reproduce the Assessments, Syllabuses or Materials except as specifically authorised by CIE. 6.3 CIE grants the School a non-exclusive, non-transferable, royalty-free copyright licence to use the CIE Marks in accordance with the Handbook. 6.4 The School shall not use CIE s Intellectual Property Rights or the CIE Marks generally, other than as expressly provided in the Handbook. 6.5 In the event that the School fails to comply with this Clause 7, CIE may terminate this Agreement by notice in writing with immediate effect or may seek injunctive action or damages. 7 Confidentiality 7.1 All data and other documents and information, other than promotional material, supplied by CIE to the School under this Agreement shall remain the property of CIE and shall be treated as confidential and if still in the School s possession at the time of the expiration or termination of this Agreement shall, if required, be returned to CIE together with all copies and translations thereof. 7.2 The School shall not during the duration of this Agreement nor thereafter disclose or use any data or information which is confidential to CIE or received or obtained by the School in connection with this Agreement save to the extent as may be reasonably necessary during the duration of this Agreement for the fulfilment of its duties and obligations under this Agreement or as may be required by law. 8 Liability 8.1 In addition to any other remedy available to CIE, the School shall irrevocably and unconditionally indemnify CIE in full and on demand and keep CIE so indemnified from and against all claims, demands, actions and proceedings made or brought against CIE and all damages, losses (including all consequential and indirect losses), costs and expenses (including legal and other professional advisers fees) whether or not foreseeable at the date of entering into this Agreement incurred or suffered by CIE directly or indirectly as a result in whole or in part from breach of this Agreement by or the negligence of the School except in respect of death or personal injury arising from the negligence of CIE or in respect of fraudulent misrepresentation on the part of

CIE. 8.2 The School shall be solely responsible for ensuring it fully complies with any and all requirements of local legislation regarding all matters concerning this Agreement and CIE shall in no way be held liable for breaches by the School of any such requirements and in any case the School agrees irrevocably and unconditionally to indemnify CIE in full and on demand and keep CIE so indemnified in respect of all consequences of the School s non-compliance with any such requirements. 8.3 Should the School fail to comply with the requirements of Clause 8.2 CIE shall have the right to immediately terminate this Agreement. 8.4 CIE shall not be liable to the School for any loss of profit, use, anticipated savings, goodwill, reputation or opportunity, other economic loss or any other consequential or indirect loss or damage suffered or incurred by the School as a result of any breach by CIE of the terms of this Agreement. 8.5 Except in the case of death or personal injury caused by negligence, fraudulent misrepresentation or in other circumstances where liability may not be so limited under any applicable law, the liability of CIE to the School under or in connection with this Agreement, whether arising in contract, tort, negligence, breach of statutory duty or otherwise shall not exceed the greater or either the sum of 10,000 or a sum equalling the fees paid by the School to CIE in the previous 12 months. 8.6 The payments due under this Agreement have been negotiated and agreed on the basis that CIE may limit its liability to the School as set out in this Agreement and the School confirms that it will itself bear or insure against any loss for which CIE has limited its liability under this Agreement. 8.7 Except as set out in this Agreement, all warranties, conditions, terms and undertakings, express or implied, whether by statute, common law, custom, trade or usage, course of dealings or otherwise, including without limitation as to quality, performance or fitness or suitability for purpose, in respect of any service to be provided by CIE under this Agreement are excluded to the fullest extent permitted by law. 9 Termination 9.1 Either Party shall be entitled to terminate this Agreement immediately by written notice to the other if: 9.1.1 the other Party commits any breach of any of the provisions of this Agreement and, in the case of a breach capable of remedy, fails to remedy the same within 30 days after receipt of a written notice giving full particulars of the breach and requiring it to be remedied; 9.1.2 an encumbrancer takes possession or a receiver is appointed over any of the property or assets of the other Party; 9.1.3 the other Party makes any voluntary arrangement with its creditors or becomes subject to an administration order;

9.1.4 the other Party goes into liquidation (except for the purposes of an amalgamation or reconstruction and in such manner that the institution resulting there from effectively agrees to be bound by or assume the obligations imposed on the other Party under this Agreement); 9.1.5 anything analogous to any of the foregoing under the law of any jurisdiction occurs in relation to either of the Parties; or, 9.1.6 the other Party ceases, or threatens to cease, to carry on business. 9.2 CIE shall be entitled to terminate this Agreement by giving not less than 14 days written notice to the School if: 9.2.1 is subject to any governmental authority or permission which is subsequently withdrawn or revoked during the duration of this Agreement; 9.2.2 the School or its staff in any way bring into disrepute the name, reputation and interests of CIE, its employees, directors, officers, other people associated with CIE, or its products or services; 9.2.3 the School fails to administer the Assessments or examinations in accordance with CIE's regulations or suffers a serious security breach compromising the integrity of CIE's examinations; 9.2.4 the School fails to pay any bill from CIE within 28 days of the invoice date; 9.2.5 the School at any time challenges the validity of the Intellectual Property Rights of CIE or the University of Cambridge; or, 9.2.6 at any time there is a material change in the membership of the School which in the reasonable view of CIE materially affects the ability of the School to perform its obligations under this Agreement or where the change in membership is as a result of a competitor of CIE obtaining an interest in the School. 9.3 Either Party may terminate this Agreement at any time by giving 6 months notice in writing. 9.4 Any waiver by either Party of breach of any provision of this Agreement shall not be considered as a waiver of any subsequent breach of the same or any other provision thereof. 9.5 The rights to terminate this Agreement given by this clause shall be without prejudice to any right or remedy of either Party in respect of the breach concerned (if any) or any other breach. 10 Consequences of Termination 10.1 Upon termination of this Agreement for any reason: 10.1.1 outstanding monies due by one of the Parties to the other shall become immediately payable by the other;

10.1.2 each Party shall honour any outstanding services due to the other at the date of termination; 10.1.3 all licences granted hereunder shall terminate; and, 10.1.4 subject as otherwise provided herein and to any rights or obligations which may have accrued prior to termination, neither Party shall have any further obligation to the other under this Agreement. 11 Changes to this Agreement 11.1 This Agreement may be changed by CIE without the consent of the School provided that CIE gives the School at least 3 months notice of any variation. 11.2 Where CIE has proposed that the Agreement is to be changed only under 11.1, the School may terminate this agreement provided that it gives 2 months notice of such termination which shall be effective before the changed terms come into effect. 11.3 Other than as described in 11.1 no changes to this Agreement or to the arrangements for Accreditation shall be effective unless they are recorded in writing signed by the duly authorised representatives of the Parties. 12 General 12.1 The School shall not, without the prior written consent of CIE, be entitled to perform any of its obligations through any other company or entity or to assign, mortgage, charge or dispose of any of its rights hereunder, or sub-contract or otherwise delegate any of its obligations hereunder. 12.2 The School shall ensure that every agreement with third parties related to the subject matter of this Agreement does not specify that the School is acting in any way as an agent or representative of CIE. 12.3 If either Party is affected by Force Majeure it shall notify the other Party immediately of the nature and extent of the Force Majeure and neither Party shall be deemed to be in breach of this Agreement by reason of any delay in performance, or non-performance, of any of its obligations hereunder to the extent that such delay or non-performance is due to any Force Majeure of which it has notified the other Party, and the time for performance of that obligations shall be extended accordingly. 12.4 This Agreement supersedes all previous agreements and understandings between the Parties with respect to its subject and may not be modified except by an instrument in writing signed by the duly authorised representatives of the Parties. 12.5 Each Party acknowledges that in entering into this Agreement, it does not do so on the basis of, and does not rely on, any representation or warranty or other provision except as expressly provided herein. However, nothing in this Agreement purports to exclude liability for any fraudulent statement or act. 12.6 Nothing contained in this Agreement shall be construed to imply a partnership, or employer and employee or principal and agent relationship between the

Parties and neither Party shall have any right, power or authority to create any obligations, express or implied on behalf of the other. 12.7 No person who is not party to this Agreement shall have any right under the Contracts (Rights of Third Parties) Act 1999 to enforce any terms of this Agreement but this does not affect any right or remedy of a third party which exists or is available apart from that Act. 12.8 Each Party warrants to the other Party that it has full power and authority to enter into this Agreement. 12.9 The failure to exercise or delay in exercising a right or remedy provided by this Agreement or by law does not constitute a waiver of the right or remedy or a waiver of other rights or remedies; a waiver of a breach of any of the terms of this Agreement or of a default under this Agreement does not constitute a waiver of any other breach or default and shall not affect the other terms of this Agreement or a waiver of a breach of any of the terms of this Agreement or of a default under this Agreement will not prevent a Party from subsequently requiring compliance with the waived obligation. 12.10 The Parties shall comply with the United Kingdom Data Protection Act 1998 ( the Act ) in their processing of Personal Data and Sensitive Personal Data as defined in the Act respectively, insofar as such processing is necessary pursuant to this Agreement. 12.11 Where Sensitive Personal Data is to be processed by CIE as a result of this Agreement, the School shall ensure that it obtains appropriate explicit prior written consent from students, staff or other data subjects, for the processing envisaged in this Agreement. 12.12 If any provision of this Agreement shall be held to be unlawful, invalid or unenforceable, in whole or in part, under any enactment or rule of law, such provision or part shall to that extent be severed from this Agreement and rendered ineffective as far as possible without modifying or affecting the legality, validity or enforceability of the remaining provisions of this Agreement which will remain in full force and effect. 13 English Law 13.1 This Agreement shall be governed by and construed in accordance with English law and all disputes shall be referred to and be under the exclusive jurisdiction of the High Court of Justice in England and Wales. 14 Notices 14.1 Any notices to be given or served under this Agreement shall be in writing and deemed adequately served on CIE if delivered to: The Chief Executive, University of Cambridge International Exams, Syndicate Buildings, 1 Hills Road, Cambridge, CB1 2EU United Kingdom

Facsimile +44 1223 553098 and on the School if delivered to the person who signs the Confirmation Letter or their replacement if they have left the School. 14.2 The School shall notify CIE within 14 days of the replacement of the person who signs the Confirmation Letter by the School. 14.3 Any notice served under this Agreement shall be served by courier or facsimile (with copy then sent by courier) to the address referred to in Clause 14.1 or to such other address which the Party has provided to the other in writing as a substitute. 14.4 Any notice shall be deemed to have been received: 15 Definitions 14.4.1 if served by facsimile transmission (which shall be followed by delivery by courier), shall be deemed to have been served 7 business days from the date of provision to the courier; and, 14.4.2 if served by courier, shall be deemed to have been served 7 business days from the date of provision to the courier. 15.1 In this Agreement the following words and phrases shall have the meanings given below: means UK pounds Sterling; Assessments Centre Certificate CIE CIE Intellectual Property Rights CIE Marks means the method used to evaluate a candidates performance in relation to a Qualification; shall be read as meaning the same as School when reading any documents that are produced by CIE, including those that form part of this Agreement; means the document produced by CIE recording the achievement by a candidate of having successfully completed the respective Assessments for a Qualification; means University of Cambridge International Examinations; means all Intellectual Property Rights in the Certificate and any other data or other documents or information produced or owned by CIE and supplied by CIE to the School in accordance with this Agreement; means any trademark, registered mark or design or any other identifier that is identified with CIE, University of Cambridge, University of

Cambridge Local Examination Syndicate or Cambridge Assessment and for the purposes of clarity only but not exclusively includes CIE, University of Cambridge International Examinations, University of Cambridge Local Examinations Syndicate, UCLES, the University of Cambridge or Cambridge ; Commencement Date Confirmation Letter Entry Fees Force Majeure Handbook Intellectual Property Rights Materials means the date that CIE receives cleared funds for the payment of the registration fee from the School; means the letter identified on its face as such which is sent by CIE to the School confirming that the School s registration application has been successful; means a student submitted for a Qualification; means sums payable by the School to CIE for the provision of the Services and that shall be described in the Fees schedule or list applicable to the School as provided by CIE and amended from time to time; means, in relation to either Party, any circumstance beyond the reasonable control of that Party including (insofar as beyond such control but without prejudice to the generality of the foregoing expression), without limitation any strike, lock-out or other form of industrial action, war, riot, civil commotion, malicious damage, compliance with law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or Act of God; means the CIE publication entitled Handbook for Centres as amended by CIE from time to time; means all intellectual property rights throughout the world for the full term of the rights concerned, whether or not registered and whether or not registrable, including without limitation copyright, database rights, patents, rights in inventions, know-how and technical information, design rights, design patents, registered designs, trade marks (including business and brand names, domain names, devices and logos) and the right to apply for any of the foregoing anywhere in the world; means any administrative materials produced by CIE in printed or electronic form, relating to the

Syllabuses, Modules or Assessments; Module Party Qualification School School s Premises Services Staff Syllabuses Taxes means a component part of a Qualification; means either CIE or the School depending on the context; means a Qualification offered by CIE to the School so that the School to may offer them to students at the School; refers to the school that has signed the Confirmation Letter and shall be read as meaning the same as Centre when reading any documents produced by CIE that refer to a Centre; means premises available to the School, and which are used for the purposes of examination administration; means those services provided by CIE to Schools as described in the Handbook for Centres; means employees or contractors of the School whether full, part-time or permanent, temporary or casual; means the curriculum content prepared by CIE which comprise the Qualifications; and, means withholding or other taxes, duties or other amounts. 15.2 The interpretation and construction of the Agreement shall be subject to the following provisions: 15.2.1 a reference to any statute, enactment, order, regulation or other similar instrument shall be construed as a reference to the statute, enactment, order, regulation or instrument as subsequently amended or reenacted; 15.2.2 as far as is possible, any Schedule or Appendix to this Agreement shall be interpreted consistently with the main body of this Agreement. If there is a conflict between them, the main body of this Agreement shall take precedence over any Schedule or Appendix; 15.2.3 the headings to Clauses are for ease of reference only and shall not affect the interpretation or construction of the Clauses; and, 15.2.4 where the context allows, references to male gender include the female gender and the neuter, and the singular includes the plural and vice versa.

15.3 The use of the word including, the phrase in particular, and similar expressions only illustrate specific examples and are not intended to limit in any way whatsoever the interpretation or construction of this Agreement or any other words in this Agreement. 16 Language 16.1 This Agreement is drafted in the English language. If this Agreement is translated into any other language, the English language text shall prevail. 16.2 Any notice, instrument, certificate or other communication given under or in connection with this Agreement shall be in the English language, or accompanied by a certified English translation. If such notice, instrument, certificate or other communication is translated into any other language, the English language text shall prevail.
