5 各位股東女士 / 先生們 : 致股東報告書 回顧民國 95 年, 本公司在海內外全體員工的努力下, 營收再度締造新高紀錄, 影像事業群貢獻約 49% 的總營收, 其中的影像感測器 (CIS) 事業部門, 繼續在全球影像感測器市場維持領先的地位 佔總營收約 36% 的分離式元件及類比事業群更是超越整體產業的成長, 繼續保有台灣第二大分離式元件廠的地位! 而本公司於 94 年 6 月正式併入的 6 吋晶圓廠, 也在敦南經營團隊的努力下, 於 95 年 4 月份轉虧為盈, 貢獻約 14% 的營收, 為敦南邁向 IDM 廠成功之路奠定了良好的基礎 茲將 95 年度公司之營業狀況向諸位股東報告 ( 一 ) 95 年度營業報告 一 95 年營業計劃實施成果 敦南的營收於 95 年度創下了新高紀錄, 全年營收達新台幣 115 億 3 千 6 百萬元, 年增率 18%, 公司淨值也由 94 年的 63.9 億成長至去年的 75 億, 成長超過 17% 在獲利方面, 稅前淨利為新台幣 10 億 9 仟 9 佰萬元, 較前一年衰退 17.7%, 稅後淨利為新台幣 10 億 5 仟 9 佰萬元, 較前一年度衰退 9.99% 影像事業群因手機用照相模組 (CCM) 之出貨未達經濟規模 彩色影像感測器 (CIS) 則因價格下跌壓力及製程不順暢及新產品研發造成費用上昇等因素, 獲利下滑 而半導體事業群則因晶圓及導線架價格上漲幅度超過預期, 造成分離式元件獲利未能如預期成長 整體而言, 敦南科技的表現仍受到各方的肯定, 在 95 年度首度入圍 10 月份美國商業週刊選出之亞洲百大熱成長之公司, 本次共有 19 家台灣企業入選, 敦南名列第 76 順位 二 研究發展狀況 新產品的推出是敦南保持每年營收成的重要推手,95 年投入之研發費用共計新台幣 359 百萬元, 佔整體營收之 3.1% 95 年敦南通過了 18 件的專利申請, 而申請中之專利亦達 172 件, 成果卓越 以下為幾項去年新推出並己量產之產品 : 1. 6 ( 三 ) 未來公司之發展策略 一 結合市場的應用需求, 將致力發展開拓產品線之深度及廣度, 並盡量朝提供完整產品系列, 以滿足客戶之市場需求 二 增強組織效能及銷售管理系統, 以掌握市場變化及產品發展 三 持續改善製程效率, 提昇產品良率, 降低生產成本, 開發出高品質及具競爭力的產品 ( 四 ) 受到外部競爭環境 法規環境及總體經濟環境之影響 一 外部競爭環境之影響 科技改變及產業變化快速, 本公司除了隨時掌握產業脈動外 一直持續在投入新產品之研發, 產品的開發及佈局皆有長遠的規劃, 堅持穩扎穩打的經營模式 二 法規環境之影響 本公司隨時注意國內外重要政策及法律變動, 在最近幾年並沒有受到相關之影響 三 總體經濟環境之影響 1. 利率 : 本公司 95 年度利息收支淨額為負 12,434 萬, 佔合併營業收入及營業利益 1.05% 及 23.2%, 因此降低負債並密切注意市場變化以便向銀行取得較優惠之借款利率是持續重要管理目標 2. 匯率 : 本公司 95 年兌換利益為 5,362 萬, 佔合併營收及營業利益 0.5% 及 10%, 因本公司外銷比重 80%, 故匯率之變動對公司損益具有其影響性, 本公司為因匯率變動, 採取下列措施 : (1) 加強外匯風險之管理, 收集匯率資料並掌握匯率走勢 (2) 開立外幣存款帳戶, 進行外匯部位管理, 在資金調度上採行以自有外匯收入支應外匯支出, 以有效降低匯兌風險 3. 通貨膨脹 : 這幾年未對本公司造成重大影響 展望未來, 敦南科技仍將致力於追求營收及獲利的雙成長, 持續將現有的核心技術發揚光大, 努力研發創新, 加速新產品之開發 ; 另一方面則持續提高營運績效, 努力提升產品品質 降低成本, 以拓展現有產品之市場佔有率, 並獲取更高的利潤, 讓支持我們的股東 員工和公司一起分享成果, 達到三嬴的局面! 最後, 再次感謝各位股東女士先生們對敦南科技一直以來的支持與鼓勵 在此謹祝各位身體健康, 萬事如意! 董事長 -2-

7 To Our Shareholders In the year of 2006, the Liteon Semiconductor Corporation increased its revenue to a new record height, thanks to the hard work of all our colleagues at home and abroad. The Image Group contributed some 49% of our total sales. Its contact image sensor (CIS) makers continued to lead in the global market of this product group. The Discrete and Analog Product Group which contributed 36% to the company's total sales, even grew faster than the industry as a whole, thus, maintaining a number two position in Taiwan in discrete device sales. As to the 6-inch wafer plant we acquired in June of 2005, our team there turned it around and registered its first profit in April The plant contributed 14 percent of the total sales of the company, and laid a solid foundation for further development of our successful IDM business. The following is a report of our operations in the year of ) Corporation Operations in 2006 I. Implementation of 2006 Business Plan Sales of Liteon Semiconductor reached a record height of NT$ billion in the year of 2006 which represents a year-on-year increase of 18 percent. The company's net worth climbed from NT$6.39 billion in 2005 to NT$7.5 billion in 2006, an increase of more than 17 percent. With regard to profits, Liteon Semiconductor's pre-tax profit in 2006 totaled NT$1.099 billion, which is 17.7 percent below that of Profit of the Image Group decreased in 2006 because of these main reasons: one -- production of camera module for handsets (CCM) has not reached sufficient quantity to ensure economy of scale; two -- price of the colored contact image sensors (CIS) has fallen in the world market; three -- its manufacturing process has small wrinkles to smooth out; and four -- R&D for new products is pushing up cost. As to the Semi-Conductor Group, the higher-than-expected price rise in wafers and wiring racks hindered the Discrete Product Division from raising its profit margins to the expected range. But, as a whole, our 2006 performance was still regarded highly by observers from all quarters. The company was included in the first 100 fastest growing enterprises in Asia by the noted U.S. magazine, Commerce Weekly, in its October issue. Liteon Semiconductor ranked 76th in Asia, a total of 19 Taiwanese companies were selected. II. Research and Development Launching new products is the most important way to keep our annual sales growing. In 2006, we spent in research and development work NT$359 million, which is 3.1 percent of the company's consolidated total sales. In the same year, Liteon Semiconductor had 18 patent applications approved, and pushed the total number of our patent applications to 172. We can be proud of both figures. The following are the new products we launched and started mass production last year: 1. PWM Used in power supply management and in LCD TV inverters 2. PFC Used in high voltage power supply management 3. BCD Process Used in high voltage, high amperage analog IC 4. Laser Mouse Sensor Module Used in laser mouse 5. Ambient Light Sensor Used in GPS and handset display panel 6. 3M AF CCM Module Used in handsets 2) 2007 Operation Plan Major Direction of Pursuit Our Semiconductor Group (including the Discrete Division, the Analog Product Division and the 6-in wafer plant) will continue to develop and launch new products according to our plan of providing complete and all-round power supply management solutions; and to follow such trends as greater reliance on green energy -3-

8 resources and energy savings by stepping up launchings of more efficient medium and high voltage analog products. The Image Group will make use of our sensor design capabilities and chip on board (COB) technology as technological mainstays to do R&D on products of the future to meet the needs of our existing clients Business Targets Based on the present status of our operations and experiences gained in past years, we estimate that production of colored CIS should increase by 15 to 20 percent. But, monochrome products may shrink by 5 to 10 percent. Total CCM sales may reach 8 to 10 million units. The Semiconductor Group, as a whole, could increase its sales by more than 20 percent. 3) Strategies for the Future I. With an eye on the needs of the market, we will develop product lines in depth and in breadth. And as far as possible, we will build ourselves up as a supplier of a complete set and a full range of all devices and tools to satisfy our customers. II. Streamline organizational efficiency and marketing and sales management to better cope with changes in the market and in product development. III. Constantly improve the manufacturing process, reduce the rate sub-standard products and rejects, bring down production cost, and put out high quality products of high competitive edge. 4) Competition, Legal/Regulatory Environment, Economic Environment and Their Impact on Our Business Coping with Competition Changes in technology and in the industry are rapid. Besides watching carefully and closely conditions in the industry and in the market, we also constantly devote efforts and resources in researching and developing new and existing products. We emphasize long-range planning, and faithfully follow a rational policy in order to avoid untoward surprises and excessive risks. Laws and Regulations and Their Impact We always pay close attention to important policy changes and new laws and regulations in this country and abroad. Therefore, the company has not been affected by unexpected adverse effects from this direction in recent years. Economic/Financial Environment and Its Impact A/- Interest Rate: Interest income and expenditures for the year come to -NT$ million which (in absolute value) equals 1.05 percent of total consolidated sales or 23.2 percent of operating profit of the year of These rather high percentage values argue strongly for the necessity to further reduce debt burdens, and for a close and constant watch on the financial market to find the most favorable interest rates for the loans we assume. In fact, these should be the most important goals in our financial management. B/- Foreign Exchange Rate: In 2006, our company gained NT$53.62 million in foreign exchange transactions which is 0.5 percent of total consolidated sales, or 10 percent of operating profit. Since revenues from exports constitute 80 percent of our total sales, foreign exchange fluctuations naturally affect the company's balance sheet to a substantial degree. To cope with foreign exchange fluctuations, our company has adopted the following measures: Strengthen risk management of foreign exchange transactions through timely and diligent collection of relevant information to accurately spot and predict foreign exchange trends in the market. -4-

9 Open foreign currency accounts and exercise judicious management of them. Follow the general principle of using company's own foreign currency reserves to pay bills denominated in that currency. This would minimize foreign exchange risks. C/- Inflationary Pressure: Inflation has not exerted any significant effect on the financial condition of the company. In the months and years to come, Liteon Semiconductor will still pursue the twin aims of sales and profit maximization, and to continue the development of its core technologies. Through technological research and innovation, we will accelerate the launching of new products. At the same time, we will continue and constantly improve operational efficiency, lower costs, raise market share of existing products and earn higher profit. That will result in a triple-win situation for all three parties, namely, the shareholders who support us, the company, and all the employees. Date Established April 12th, Milestones in the History of Liteon Semiconductor Corporation: 1990 Lite-on Semiconductor Corporation was founded. Capitalization: NT$198,820,000 inclusive of NT$29,820,000 of technology capital ~ 1995 having been approved by the Securities Exchange Commission, the Liteon Semiconductor Corp. became a publicly issued company. Industrial Development Bureau, Ministry of Economic Affairs, awarded us a grant of NT$11,500,000-6-

11 from the Key Product Development Fund to develop color CCD along with an interest-free loan of NT$11,500,000. The company completed ISO-9002 certification. We acquired property for use as office and plant at this address: 8th and 9th Floors, Building A, Far East Industrial City, Paochiao Road, Hsintien, Taipei Industrial Development Bureau, Ministry of Economic Affairs, awarded us a grant of NT$15,000,000 to develop 300 dpi color CIS and an interest-free loan of NT$15,300,000. We plowed back profits to increase company capital to NT$347,680,000. Our stocks became OTC listed. Our subsidiary, Dyna Image Corporation Philippines was established in the Philippines 1996 ~ 1999 Our company was ISO-9001 certified. Industrial Development Bureau, Ministry of Economic Affairs, awarded us the 5th Excellent Awards of Industrial Technology Development for Industry Prize.
