9 台湾早已存在选定当事人制度 加入制集团诉讼的一种形式 瑐瑤但在证券诉讼中运用 较少日本的证券诉讼主要采用传统的共同诉讼和单一诉讼方式进行 台湾则主要通 过证监会设立的证券投资人保护中心提起团体诉讼的方式来对投资人进行司法救济 作为大陆法系代表性国家的德国 由于没有集团诉讼制度 在证券诉讼领域的问题更为 突出 德国电信案就是一个用传统诉讼方式解决现代性证券诉讼案件的反面典型 并产 生了一系列严重的问题和困难 瑐瑥 对此 笔者将在后文予以分析 当然 加入制集团诉讼在发展过程中也有比较好的表现例如 日本的选定当事人 制度在日本的环境诉讼中就发挥了较大的作用正如谷口安平教授所言 选定当事人 制度在立法阶段并没有考虑这是为了适用于集团诉讼 但该制度确实可能被利用来进 行集团诉讼 瑐瑦自 20 世纪 60 年代末以来 日本利用此种方式解决了许多类型的集团性 侵害事件 瑐瑧并形成了一系列著名案例 瑐瑨这些案例的数量和影响度仅次于美国的环境 诉讼 瑐瑩 度的适用范围 为了使该制度能发挥更大的作用 修改后的日本民事诉讼法进一步扩大了该制 又如 我国 1991 年正式颁行的 民事诉讼法 确定的两种代表人诉讼 均属于加入 制集团诉讼 特别是前者人数确定的代表人诉讼在司法实践中运用较多 其中有不少案 件还是取得了比较好的效果 瑑瑠这也从另一个方面说明了加入制集团诉讼的制度价值 那么 为什么加入制证券集团诉讼在世界各国 ( 地区 ) 的表现普遍不佳呢 原因是多方面 的 笔者认为 其中一个重要原因在于 集团登记是加入制下当事人进入诉讼的第一道 门槛和难题 也是加入制弱于退出制表现的主要原因所在加入制证券集团诉讼的当 事人居住地更为分散 要证明的内容通常更多 难度也会更大 这在上述对英国的证券 集团诉讼加入程序的分析中可以看得比较清楚从我国当事人加入证券诉讼的案例中 可以更进一步得到验证通常情况下 对环境侵权提起的集团诉讼 当事人要成为集团 成员 仅仅提交自己基本的身份信息即可而按照 2003 年 1 月 9 日最高人民法院 关 于审理证券市场因虚假陈述引发的民事赔偿案件的若干规定 的要求 投资人提起虚假 瑐瑤瑐瑥 瑐瑦 瑐瑧 瑐瑨 瑐瑩 瑑瑠 日本民诉法基本上是以德国法为范本制定的 但其中的选定当事人制度却是在大正十五年 1926 年 的法律修改之 际 借鉴英国法的代表诉讼 Representative Action 以信托法之原理而制定的制度 因而是日本一项独特的诉讼制 度 中国 1935 年制定的 民事诉讼法 也借鉴了该项制度 德国电信案原告人数达到 人 由 754 名律师代理尽管这些诉讼请求经代理律师合并为 2128 个共同诉讼 主 管这一案件的法兰克福地区法院第 7 商事庭的审理工作仍然面临着巨大的压力据媒体报道 相关案卷因数量太 多 法院使用了卡车运输主审法官 Meinrad 向媒体表示 如果按照普通程序 审结所有案件需 15 年时间 日 谷口安平 程序的正义与诉讼 王亚新 刘荣军译 中国政法大学出版社 1996 年版 第 189 页 其中包括药害事件 食品事故事件 环境污染公害事件 大气噪音公害事件等 如四大公害诉讼 大阪机场噪音公害诉讼 沙利宝迈度诉讼等 例如 仅在日本律师协会主编 皇甫景山翻译的 日本环境诉讼典型案例与评析 一书后的附录中 就通过表格的形 式列出了几十个日本公害审判中的著名案件 参见章武生等 中国群体诉讼理论与案例评析 法律出版社 2009 年版该书第十一章选取的 5 个代表人诉讼案 例 均取得了比较好的效果 284

12 难以遏制企业恶意侵权的气焰 使其违法现象屡禁不止 并最终阻碍我国企业走出国门去参与国际竞争 影响了中国企业的国际形象 瑒瑠笔者赞同我国应当引入退出制集团诉讼的后一种观点但由于集团诉讼的复杂性和可能产生的巨大负面影响 目前全面铺开的条件尚不成熟 应当从最容易推进的领域开始 这个突破口选在最容易运用集团诉讼且亟需救济制度的证券领域比较合适 瑒瑡 我国要建设 公平 公正 公开 的证券市场 规范企业行为与加强投资者保护 都需 要私人救济制度的支撑引入退出制的证券集团诉讼 是我国完善证券市场治理与规 范的一个重要的突破口 首先 增设退出制证券集团诉讼是遏制我国证券市场频频发生的大规模侵权行为 迫使侵权方遵守法律或契约的需要由于我国法治和信用制度的严重滞后 证券市场 监管和司法救济的乏力 证券市场大规模侵权行为非常严重证监会前主席肖钢曾指 出 违法案件越来越多 执法资源相对紧张近年来 违法案件呈多发高发态势 年 案件增幅年均 14% 2012 年同比增长 21% 2013 年上半年同比又增加 40% 目前 内幕交易案件数量超过一半 欺诈发行 虚假信息披露案件在快速上升同时要 看到 一方面 还有为数不少的违法行为并没有得到查处 另一方面 随着多层次资本市 场发展 市场规模将继续扩大 违法案件还会增多 瑒瑢前证监会主席虽然主要是论证行 政监管面临的困境 但同时也从另一个角度说明仅仅依靠行政手段迫使侵权方遵守法 律或契约是远远不够的可以说通过诉讼机制遏制大规模侵权行为 让司法结果起到 示范作用 引导并规范上市公司与管理人的行为 是我国建构退出制证券集团诉讼制度 的一大驱动力 增设退出制证券集团诉讼以遏制违法行为 规范市场环境 这种需要在我国证券市 场国际化和建设上海国际金融中心的背景下更为突出沪深两市交易所正式运营至今 25 年来 中国证券市场从无到有 从小到大 已经成长为全球第二大证券市场 瑒瑣不仅 如此, 越来越多的内地企业已经选择在国外资本市场上市, 到香港上市的内地企业更多, 目前内地企业市值已占港股半壁河山再加上沪港股票市场交易互联互通机制正式开始运行, 中国证券市场规模扩大的速度大大超出预期但是我们必须清 瑒瑠瑒瑡 瑒瑢 瑒瑣 参见任自力 美国证券集团诉讼变革透视 载 环球法律评论 2007 年第 3 期证券诉讼的集团成员之间共性最多 差别最小 通过证券交易系统通知也最为方便和可靠肖钢 我国大陆资本市场监管执法面临的形势和挑战 载 求是 2013 年第 15 期近年来 中国股票市值上升很快 2013 年排在美国 日本和英国之后 居第 4 位 目前已远超日本排在第 2 位 仅上海证券交易所的市值已接近日本 287

27 瑖瑨 瑖瑩 Abstract Large-scale tort affairs such as false statement insider trading and manipulating the share price frequently happen in Chinese security market. However since the ineffective administrative supervision and judicial relief investors who suffer losses usually have no place to complaint and are difficult to obtain effective relief. It is necessary and manageable to establish the security group litigation system with exit mechanism which is forceful to infringers in the security market. At present our country has the environment and technology to establish this system. At the same time some of the elements including complex double court systems which lead to negative function of American group litigation do not exist in China and some elements such as large amount of lawyer cost and legal civilization of being keen on litigation are easy to be controlled. In reality establishing the security group litigation system with exit mechanism in China is probably more valuable than developed countries including the US and its disadvantages maybe less than those countries. 瑖瑨 瑖瑩 302
