3 SUMMARY The Offer Price has been determined at HK$6.10 per Offer Share plus brokerage of 1%, Stock Exchange trading fee of 0.005% and SFC transaction levy of 0.004%. Based on the Offer Price of HK$6.10 per Offer Share, the net proceeds from the Global Offering to be received by the Company, after deduction of related underwriting commissions and expenses attributable to the Company is estimated to be approximately HK$1,428.3 million. A total of 33,240 valid applications pursuant to the Hong Kong Public Offering on white and yellow Application Forms and through giving electronic application instructions to HKSCC via CCASS or to the White Form eipo Service Provider under the White Form eipo service and for a total of 5,693,444,000 Hong Kong Offer Shares were received, representing approximately times of the total number of 25,274,000 Hong Kong Offer Shares initially available under the Hong Kong Public Offering. The Hong Kong Offer Shares initially offered under the Hong Kong Public Offering have been very significantly oversubscribed. The Offer Shares initially offered under the International Offering have been very significantly over-subscribed. The final number of Offer Shares offered under the International Offering is 126,370,000 Shares, representing 50% of the Offer Shares in the Global Offering (without taking into account the exercise of the Over-allotment Option). In addition, the number of Shares to be offered pursuant to the Over-allotment Option to placees under the International Offering is up to 37,911,000 Shares. Due to the very significant over-subscription in the Hong Kong Public Offering, the clawback mechanism has been applied and the number of Offer Shares allocated to the Hong Kong Public Offering has been increased to 126,370,000 Offer Shares, representing 50% of the total number of Offer Shares available under the Global Offering (before the exercise of any Over-allotment Option). In connection with the Global Offering, the Company has granted to the International Purchasers the Over-allotment Option, exercisable by the Sole Global Coordinator on behalf of the International Purchasers from the Listing Date within 30 days from the last day of lodging applications under the Hong Kong Public Offering, pursuant to which the Company may be required, to issue up to an aggregate of 37,911,000 additional Shares (representing, not more than 15% of the total number of Offer Shares initially available under the Global Offering) at the Offer Price, to cover, among other things, over-subscription in the International Offering. OFFER PRICE AND USE OF NET PROCEEDS FROM THE GLOBAL OFFERING The Offer Price has been determined at HK$6.10 per Offer Share plus brokerage of 1%, Stock Exchange trading fee of 0.005% and SFC transaction levy of 0.004%. Based on the Offer Price of HK$6.10 per Offer Share, the net proceeds from the Global Offering to be received by the Company, after deduction of related underwriting fees and expenses payable by the Company in connection with the Global Offering, is estimated to be approximately HK$1,428.3 million and the Company currently intends to apply such net proceeds as follows: approximately 50%, or HK$714.1 million, to expand the Group s product offerings, including enhancing our research and development (including conducting clinical trials and obtaining both domestic and international regulatory approvals), with a particular focus on new product lines to diversify the Group s business, as well as acquiring businesses or acquiring or licensing products and technologies that the Group believes could complement its existing capabilities; in this regard, the Group expects to invest approximately HK$100 million to finance the ongoing clinical trials of the Group s third generation drug-eluting stent, Firehawk, and ongoing research of the Group s fourth generation drug-eluting stent as well as several other cardiovascular and other vascular products. As of the Latest Practicable Date, the Group has not entered into any agreement nor do the Group has any definite plans at present in relation to any potential acquisitions of businesses or potential acquisitions or licensing of products and technologies; approximately 25%, or HK$357.1 million, to expand the Group s production facilities, including approximately HK$250.0 million for completion of a new office complex for our headquarters and principal manufacturing facilities which is expected to be completed in 2012 and have an estimated annual production capacity of approximately 700,000 to 1,000,000 units of stents and catheters, and purchase of production and testing equipment; approximately 20%, or HK$285.7 million, to expand our sales, marketing and distribution activities in China and worldwide in particular the Asia Pacific region (excluding China) and 6

7 Europe, including expanding and enhancing our sales, marketing and distribution network by adding more staff and hiring more distributors and performing multi-center post-launch clinical studies on our principal products such as drug-eluting stents, enhancing our brand name and market position and increasing training and education of physicians regarding our products by establishing training and education centers in China and other activities such as promoting public awareness and early detection of chronic diseases and post-procedure patient care and services; and approximately 5%, or HK$71.4 million, to fund working capital and for other general corporate purposes. APPLICATIONS AND INDICATIONS OF INTEREST RECEIVED As at the close of the application lists at 12:00 noon on Thursday, September 16, 2010, a total of 33,240 valid applications (applications on white and yellow Application Forms and through giving electronic application instructions to HKSCC via CCASS or to the White Form eipo Service Provider under the White Form eipo service) and for a total of 5,693,444,000 Hong Kong Offer Shares were received, representing approximately times the total number of 25,274,000 Hong Kong Offer Shares initially available under the Hong Kong Public Offering. Of the 33,240 valid applications on white and yellow Application Forms and by electronic application instructions given to HKSCC via CCASS or to the White Form eipo Service Provider under the White Form eipo service for a total of 5,693,444,000 Hong Kong Offer Shares, a total of 32,228 applications in respect of a total of 1,188,168,000 Hong Kong Offer Shares were for Hong Kong Offer Shares with an aggregate subscription amount based on the maximum offer price of HK$6.10 per Offer Share of HK$5 million or below (exclusive of 1% brokerage, 0.004% SFC transaction levy and 0.005% Stock Exchange trading fee), representing approximately times of the 12,637,000 Hong Kong Public Offer Shares initially comprised in Pool A, and a total of 1,012 applications in respect of a total of 4,505,276,000 Hong Kong Offer Shares were for Hong Kong Offer Shares with an aggregate subscription amount based on the maximum offer price of HK$6.10 per Offer Share of more than HK$5 million (exclusive of 1% brokerage, 0.004% SFC transaction levy and 0.005% Stock Exchange trading fee), representing approximately times of the 12,637,000 Hong Kong Public Offer Shares initially comprised in Pool B. 10 multiple or suspected multiple applications have been rejected. 36 applications have been rejected due to bounced cheques and 29 invalid applications have been rejected. The number of Shares validly applied for under the Hong Kong Public Offering represents approximately times of the initial number of the Hong Kong Public Offering, therefore Shares will be reallocated to the Hong Kong Public Offering from the International Offering according to the paragraph Structure of the Global Offering The Hong Kong Public Offering Reallocation in the Prospectus. The final number of Offer Shares comprised in the International Offering is 126,370,000 Offer Shares, representing 50% of the Offer Shares in the Global Offering (without taking into account the Shares which may be issued pursuant to the Over-allotment Option). In addition, the number of Shares to be allocated pursuant to the Over-allotment Option to placees under the International Offering is up to 37,911,000 Shares. In connection with the Global Offering, the Company has granted to the International Purchasers the Over-allotment Option, exercisable by the Sole Global Coordinator on behalf of the International Purchasers from the Listing Date within 30 days from the last day of lodging applications under the Hong Kong Public Offering, pursuant to which the Company may be required, to issue up to an aggregate of 37,911,000 additional Shares (representing, not more than 15% of the total number of Offer Shares initially available under the Global Offering) at the Offer Price, to cover, among other things, over-subscription in the International Offering. As at the date of this announcement, the Over-allotment Option has not been exercised. In the event that such Overallotment Option is exercised, an announcement will be issued. The Directors confirm that no Offer Share has been allocated to applicants who are connected persons of the Company within the meaning of the Listing Rules. None of the Stabilizing Manager and the Underwriters and their respective affiliated companies and connected clients (as set out in Appendix 6 to the Listing Rules) has taken up any Offer Shares for its own benefit under the Global Offering. The Directors confirm that the International Offering is in compliance with the placing guidelines for equity securities as set out in Appendix 6 to the Listing Rules and no investor will, individually, be offered more than 10% of the enlarged issued share capital of the Company immediately after the Global Offering and the Capitalization Issue. As such, the Directors confirm that there will not be any new substantial shareholder immediately after the Global Offering, and the number of Shares in public hands will satisfy the minimum percentage prescribed by Rule 8.08 of the Listing Rules. 8

OVER-ALLOTMENT OPTION The Company has granted to the International Purchasers the Over-allotment Option, exercisable by the Sole Global Coordinator, on behalf of the International Purchasers within 30 days from the last day of lodging applications under the Hong Kong Public Offering to require the Company to issue up to an aggregate of 37,911,000 additional Offer Shares, In the event that such Over-allotment Option is exercised, an announcement will be made. As at the date this announcement, the Overallotment Option has not been exercised. PUBLIC FLOAT Immediately after completion of the Global Offering approximately 29% of the Company s issued share capital will be held by the public. REFERENCE TO THE ANNOUNCEMENT DATED SEPTEMBER 14, 2010 As set out in the announcement published by the Company on September 14, 2010, the Company has procured the Receiving Bankers to contact all the applicants of the mistakenly printed Yellow Application Forms to notify them of the errors in such Yellow Application Forms and to reaffirm their intention of their application. For each of the applicants whom the Receiving Bankers have successfully contacted by 4:00 p.m. on September 17, 2010 and who have indicated their decision not to proceed with the application, the Company will refund to the applicant(s) their application monies by mailing to them the relevant refund cheques on September 22, The Receiving Bankers were unable to contact 521 of the applicants who applied using the mistakenly printed 16

51 Yellow Forms prior to 4:00 p.m. on September 17, 2010 and who were allotted Shares, and a total of 768,000 Shares were allotted to these applicants. For these applicants, the Company has already sent to the said applicant an election form on September 20, 2010 by registered mail to the address stated in the Yellow Application Form. Subject to the terms of the election form, such applicant will be entitled to either a) accept such number of alloted Shares, or b) sell their allotted Shares at Offer price (including such application monies) to the Joint Bookrunners.
