1 SIMS WINE CLUB IMPORTANT INFORMATION / TERMS & CONDITIONS FOR ONLINE PURCHASE IMPORTANT NOTICE: Under the law of Hong Kong, intoxicating liquor must not be sold or supplied to a minor in the course of business. By placing an order, you must confirm that you are 18 years old or above. You must ensure that no other person except yourself shall use your login to purchase alcohol products and a person aged 18 or above (identification required) must be present to take delivery, otherwise delivery shall be withdrawn and attempted at another time to be agreed between you and us. 1. General 1.1. In these terms and conditions ( T&C ), "Sims Wine Club" or "we" or "us" means Sims Wine Club, a division of Sims Trading Company Limited and the "customer" or "you" means any person, firm, company or body which places an order with us. Please read these terms and conditions carefully before using the website ( our e-shop ). By using the site or any part of it, you agree that you have read these terms and conditions and that you accept and agree to be bound by them We shall make every effort to ensure that prices, details and sizes of products at our e-shop are up-to-date. Prices are subject to change without prior notice and all orders are subject to our acceptance at our sole discretion and stock availability We shall make every effort to ensure product(s) displayed at our e-shop are in stock. If from time to time any products become out of stock, we reserve the right to offer alternative product(s) of similar value and style All orders are subject to confirmation of final availability and we reserve the right to reject the order in the event that any of the products or services requested are unavailable. 2. Business Hours 2.1. Business hours are from 9:15am to 5:00pm, Monday to Friday, except for public holidays Our Customer Service will contact you during business hours upon receiving the order to confirm order details and arrange delivery. Delivery is usually made within two business days after the order confirmation is sent, excluding public holidays (see below (4) for details).

2 3. Sales Orders 3.1. All orders are subject to stock availability and final confirmation. All wines offered are subject to remaining unsold All orders received online are considered final. No cancellations will be accepted Prices and vintages are subject to change without prior notice All wines are sold AS-IS, strictly non-exchangeable and non-refundable By placing an order, you agree to purchase products or services in accordance with the Terms and Conditions set out herein. After receiving your order, we will acknowledge receipt of your order. However, it is not an acceptance of your order. We reserve the right to reject any order without giving any reasons. In the event that we are unable to accept your order (for example due to payment issue), we will notify you by phone or If your order is accepted by us, we will confirm with you accordingly and advise the date and time of delivery or availability for collection at a designated pick-up location. 4. Delivery 4.1. Delivery Areas Hong Kong addresses located in Hong Kong Island, Kowloon and New Territories except Outlying Islands (including Cheung Chau, Lantau Island, Ma Wan, Discovery Bay, Tung Chung, Airport, etc.), P.O. Boxes, restricted areas, hotel guest rooms, ports or marinas. Delivery service is not applicable to areas that cannot be reached directly by our vehicles Delivery Fee Customers are entitled to free delivery service upon purchase of HK$800 or above to a single delivery address. A delivery fee of HK$90 per each delivery address will be charged for orders below HK$ Delivery Schedule From Monday to Saturday (except public holidays). Delivery service is available normally between 10am 6pm, unless otherwise arranged specifically Suspension of Delivery Service Delivery service will be suspended when typhoon signal No.8 or above or a black rainstorm signal is hoisted. In this event customers will be contacted to re-schedule delivery time. If delivery is delayed, postponed or cancelled due to traffic, weather, different district or other factors, we shall not be liable for any loss or damage, no matter whether the factor which causes the delay, postponement or cancellation is within the control of Sims Wine Club or not.

3 4.4. Logistics Arrangement Our logistics team or its representative may contact you on the day of delivery prior to delivery. Please ensure someone will be present to sign and receive the delivery at the times arranged. A signature is required on delivery. In the event of a lift breakdown during delivery we will make arrangements to deliver the goods at another time Undeliverable Orders All orders returned to us are considered "undeliverable". Reasons for undeliverable orders include incorrect delivery address, failed delivery attempts by logistics (i.e., the recipient is unavailable). When we receive undeliverable orders, we will notify Customers via or phone to arrange for re-delivery. HK$90 will be charged for any re-delivery arrangement All expected delivery dates and time are estimates only. We shall not be liable for any loss or damage incurred or suffered by the customer as a result of any late delivery Sims Wine Club reserves the right to decline delivery of goods to any customer at our sole discretion absolutely. For any other delivery enquiry, please contact us by phone at or during office hours. 5. Wine Condition 5.1. Ullages of all wines offered are top shoulder or better, unless otherwise stated. Although we strive to find wines in their best condition, the Customer must make appropriate allowances for natural variations of ullages, conditions of cases, labels and corks for old wines Return wines for any reason, including corked wines are not accepted. 6. Breakages/Shortfall 6.1. All orders have been carefully inspected by our warehouse staff before delivery Customers are requested to examine the goods immediately at the time of collection or delivery for any deficiencies and/or damages. Claims (if any) must be logged at the time of delivery, otherwise, any breakages or shortfall shall be deemed to have occurred thereafter. If you find any deficiencies and/or damage upon collection/delivery, please contact us immediately to arrange exchange By signing on the delivery note and/or invoice, you acknowledge that your order is correct and that you accept the package.

4 7. Others 7.1. Title to the product shall remain vested in us until we receive full payment of the price, and risk shall pass to the customer upon delivery / collection of the product (as the case may be) We shall under no circumstances be liable for any loss (whether direct or indirect) of revenue, loss of profits or any indirect or consequential loss whatsoever suffered, sustained or incurred by you or by other person arising (directly or indirectly) out of the sale and purchase transaction with you. 8. Force Majeure 8.1. Sims Wine Club shall not be liable for any failure to meet our obligations occasioned by circumstances beyond our reasonable control.

6 4. 有關送貨 4.1. 送貨地區派送服務僅限於香港島九龍及新界並不適用於離島 ( 包括長洲大嶼山馬灣愉景灣東涌及機場等 ) 郵政信箱管制區域酒店房間或碼頭送貨服務不適用於貨車未能直達的送貨地點 4.2. 送貨費用凡訂購慎昌美酒匯貨品滿港幣 800 元, 即可享免費送貨服務 ( 以單一發票及單一送貨地址計算 ) 若訂購低於以上金額, 派送服務費為港幣 90 元 4.3. 送貨時間送貨服務時間為逢星期一至六, 上午 10 時至下午 6 時 ( 公眾假期除外, 或另行安排 ) 當八號烈風或以上信號懸掛或黑色暴雨警告生效時, 送貨服務時間或會延遲, 慎昌美酒匯將會聯絡顧客更改送貨日期於約定之送貨時間, 惟因實際情況如交通地區天氣及其他因素影響而有所延誤暫停或改期, 無論導致此等延誤或改期的原因是否在我們控制範圍內, 我們恕不負任何責任 4.4. 物流安排我們的物流團隊或派送專員會於送貨當天聯絡顧客安排收貨請確保收貨地址於派送時間內有收件人收貨並簽收如送貨時有任何升降機故障而未能正常運作, 慎昌美酒匯將會聯絡顧客更改送貨日期 4.5. 派送失敗所有無法成功派送的訂單將列為派送失敗其原因包括但並不限於 : 送貨地址不正確嘗試派送但不成功等這情況下, 客戶服務專員會以電郵或電話通知顧客安排重新派送重新派送須另繳付費用港幣 90 元 4.6. 所有送貨日期和時間均為預計送貨日期和時間就您可能因為送貨延誤所可能造成的損失或損害, 我們恕不負任何責任 4.7. 慎昌美酒匯保留權利可絕對酌情決定拒絕向任何顧客送付貨品有關訂單派送事宜, 歡迎於營業時間內致電或查詢 5. 葡萄酒品質 5.1. 除另有說明, 所有提供的酒類貨品其酒量均不低於瓶肩高處或更多儘管我們盡力把葡萄酒保持在最佳狀態, 但顧客必須接受陳年葡萄酒的包裝標籤和及軟木塞有自然的損耗 5.2. 本公司不接受因任何理由包括未開封的酒類貨品在內的退貨情況 ( 包括有木塞味的葡萄酒 ) 6. 破損 6.1. 所有貨品在送貨前都經過我們倉務人員的仔細檢查 6.2. 顧客應在收貨時立即檢查貨品有否損毀如發現損毀, 顧客必須在收貨當時指出並通知我們安排更換 6.3. 顧客於送貨單或發票上一經簽署, 即表示貨品是正確無誤並得到顧客確認接受我們有權拒絕更換已簽收之貨品

7 7. 其他 7.1. 直至顧客清付購買產品之全部款項, 我們將保留擁有有關產品之物權, 而相關之風險將於有關產品送交予顧客之同時視作已轉交予顧客 7.2. 無論在任何情況下, 顧客因與我們之間的交易而引致任何收入損失 ( 不論直接或間接 ) 利潤或任何間接或後遺損失, 我們概不負責 8. 不可抗力 8.1. 對任何超出合理控制範圍而未能履行義務的情況, 我們將不承擔任何責任
