4 摘要 摘要 航运业是一个与世界经济高度相关的周期性行业, 具有投资额大 投资回收 期长和运费波动剧烈等特点 这些特点决定了船舶投资决策是航运公司经营决策 的重中之重 科学系统的船舶投资决策有利于航运公司稳健经营 长远发展 反 之, 则会破坏公司的现金流 甚至导致投资失败 自 2008 年世界经济危机以来, 航运市场一直处于低迷徘徊阶段 但在 2012 年年底, 新船造价下跌至阶段性低位以及航运市场运力供给和需求有所改善, 这给船舶投资带来机会 本文选择干散货航运市场中的主流船型之一超灵便型船作为投资标的进行财务效益分析以及风险评价, 以期为权益人船舶投资和金融机构债权人贷款提供决策参考 全文分为六部分 : 第一部分为研究问题的意义 理论方法和基本思路 ; 第二部分为航运市场行业分析, 主要包括航运市场概述 干散货市场分析与预测 ; 第三部分为船舶投资的融资成本和结构分析, 主要包括股东权益成本 债务成本和融资成本与结构 ; 第四部分为超灵便型干散货船项目的投资效益分析, 主要包括项目概述 损益和现金流估算以及财务效益评价 ; 第五部分为超灵便型干散货船项目的风险分析, 主要包括矩阵式弹性分析以及项目的其他风险分析 ; 第六部分为结论和建议, 总结归纳超灵便型干散货船项目的投资建议并提出了应对风险的一些具体经营对策, 同时也指出本文研究中尚需完善之处 关键词 : 干散货船 ; 船舶投资 ; 财务效益
5 Abstract Abstract Shipping industry is periodic and highly relevant to the world economic with characteristics of huge investment, long payback period and sharp volatile ocean freight which result in that investment decision-making in ship is very important when running a shipping company. Ship investment decisions-making in Scientific and systemic will contribute to shipping company developing in stable and long-term, conversely will undermine cash flow and lead to the risk of investment failure in further. Since the world finance crisis in 2008, the shipping industry has been hovering in bleak stage. But at the end of 2012, the new ship purchase price is low in the stage area and the vessel capacity balance of supply and demand is improving, which brings to investment opportunity in ship. This paper chooses Supramax, one of the main streams of dry bulk vessel size then analyzes its finance benefit and assesses its risk with purpose to provide a decision-making reference for investors and creditors in shipping field. This paper is divided to six parts. Part I is the significance, theoretical methods and basic idea of studying; part II is analysis of shipping industry which mainly includes the overview of shipping, the analysis and forecasting of dry bulk market; part III is the finance cost and structure of ship investment, including the cost of shareholder s equity and finance institution s credit; Part IV is the analysis of investment benefit for Supramax vessel which consists of the overview of Supramax vessel, the estimation of P&L as well as cash flow and the assessment of finance benefit; Part V is the risk analysis for Supramax vessel, comprising risk flexibility analyzing in matrix and other risks analysis; Part VI are the conclusions and suggestions which are based on summarizing the above mentioned analysis, namely the investment proposal and specific risk management strategic, in the meantime pointing out the shortcoming of the studying in this paper. 9 第 1 章 引论 第 1 章引论 1.1 研究的问题和意义 水运是指利用船舶 排筏和其他浮运工具, 在江 河 湖泊 水库 人工水 道和海上运送旅客和货物的一种运输方式 1 根据各自的运营职能, 水运可以分 成航运和港口两个部分, 其中航运是指在水上从事货物和旅客的运输, 港口是为水运装卸货物和接送旅客 国际航运是指以船舶为运输工具, 从事一个国家和另一国家之间的货物或旅客运输, 根据其运输的货物可以分为主要三类 : 集装箱运输 干散货运输和油轮运输 船舶投资是指投资人为获取经济利益而将货币或其他资源投放到航运市场中建造或购买船舶从事航运业务的一种投资行为 干散货航运船舶投资既有其他投资领域的共性, 又有其行业特性 其特点主要表现为 : 1 投资回收期长 国际航运船舶从建造到收回投资一般需要几年甚至十几年时间 2 投资额巨大 在规模经济的要求下, 只有大型船舶才能获得规模效益 降低单位油耗, 同时更符合各国的环保要求 在船舶大型化的发展趋势下, 一艘现代化船舶的建造耗资均以千万美元计 3 风险性较大 干散货运输市场是一个近乎完全竞争市场 : 干散货船的运价或租金主要取决于国际航运市场中船舶运力的供应和需求 由于投资国际航运船 舶没有任何政策限制, 资金可以自由进入该行业, 因此目前没有任何一家干散货航运公司的运力超过全球运力的 5% 市场中没有行业的领头羊, 难以形成行业自律 再者, 运输服务具有不可存储性的特点促使市场中大量的运输服务供应方在低迷时加速降价或在繁荣时加速涨价 这些市场特点决定了干散货航运市场波动剧烈, 因此投资干散货船舶风险也较大 4 把握投资时机难 国际航运市场的租金或运价变化迅速, 导致其新船造价也波动剧烈, 要选择一个合适的进入时机并非易事 1 水运技术词典编委会. 水运技术词典. 北京 : 人民交通出版社,2000.P351. 1
10 超灵便型干散货船投资效益评价 5 投资变现容易 由于存在活跃的二手船交易市场, 投资者可以根据运营状况选择继续经营船舶或将其出售 近年来, 特别是 2008 年经济危机后, 全球经济的波动直接影响航运市场, 这也导致航运公司的股东权益资本投资回报率剧烈波动, 如表 1-1 表 1-2 所示 表 1-1: 年波罗的海指数 年度 BDI 指数平均值 资料来源 : 整理自网站 其中 2012 年数据截至 2012 年 12 月 20 日 如表 1-1 所示,BDI 指数随着全球经济形势波动而变,2009 年跌至低位, 2010 年由于各国广泛采取经济刺激政策而迎来反弹, 但随着全球经济二次探底 再次于 年期间继续下跌 表 1-2: 年五家干散货上市航运公司权益资本投资回报率单位 :% Jinhui Shipping Eagle Bulk Genco Shipping 中国远洋 宁波海运 加权平均值 1 资料来源 : 整理自上述五家上市公司年报 如表 1-2 所示, 所选五家航运公司的主营业务为干散货运输, 有的来自美 国 香港地区, 有的来自中国大陆, 其加权平均权益资本回报率从 2007 年的 32.77% 下跌至 2009 年的 -6.07%, 在 2010 年迎来一波小幅反弹后, 又在 2011 下跌至 % 基于反映干散货现货市场行情的波罗的海指数(BDI)2011 年平均值为 1549 点 截止到 12 月 20 日的 2012 年平均值为 924 点, 作者预测 按权益资本的权重进行加权平均 2
11 第 1 章 引论 年行业的亏损将继续扩大 尽管船舶投资风险性巨大, 但伴随高风险而来的高收益还是吸引了各路资本汇集到航运产业中 这其中既有国际资本的身影, 也不乏实力雄厚的国有资本和跃跃欲试的民营资本 鉴于船舶投资数额巨大, 投资人一般都需通过债务融资, 主要的融资渠道有商业银行 融资租赁公司等 同时, 现在中小型航运公司投资 船舶, 都带有一定的盲目性和冲动性, 缺乏科学系统的投资可行性论证, 这样的 投资行为无形中给债权人和股东带来巨大的风险 近年来, 载重吨为 万 吨的超灵便型船因其灵活性和适用性的优点而备受投资者青睐 本文拟选择超灵便型干散货船 (5.3 万载重吨 ) 进行投资效益评价以及可行性分析, 以期为航运公司 船舶投资基金等权益人购置该类型船舶的投资决策提供帮助, 同时也希望本研究可以作为商业银行 融资租赁公司等债权人放贷于此类项目的风险评价参考 国际干散货运输服务同质化严重 近乎完全竞争的市场导致其进入门槛低以及船舶购置时间的选择至关重要, 基于这些特点, 本文并没有选择具体某一公司作为背景进行分析, 而是采用目前市场上投资运营船舶时比较主流的惯例进行分析, 即不特定投资人利用美元购置船舶 在香港注册并从事国际运输业务, 以便提高本论文的参考意义 1.2 研究的理论基础和方法目前, 国际航运船舶投资决策的评价理论主要有基于现金流折现的投资决策 方法 基于期权的投资决策方法以及基于综合评价的投资决策方法 其中, 基于 现金流的投资决策方法相对比较成熟, 尽管融资方式以及折现率等不确定性因素研究还不是很令人满意 ; 基于期权的投资决策方法在国际航运船舶投资的应用研究还比较少 ; 基于综合评价的投资决策方法, 尚未形成系统的具有可操作性的方法, 在国际航运船舶投资决策中应用较少 1 因此, 本文将采用基于现金流折现的投资决策方法, 在此法基础上通过收集大量的行业数据力争把不确定性因素降到最低水平, 并展现出船舶投资决策的过程, 揭示其中蕴含的风险, 最后有所针对地提出相应经营对策 1 邵瑞庆. 国际航运船舶投资决策方法论. 上海 : 上海三联出版社,2006. 12 超灵便型干散货船投资效益评价 在基于现金流折现的投资决策方法中, 项目的评价标准有净现值 (Net Present Value, NPV) 投资回收期(Payback Period, PP) 内部收益率(Internal Rate of Return, IRR) 等 上述评价标准都有折现现金的再投资假设, 比如 IRR 评价方法就假设其折现的现金按 IRR 再投资, 但现实中很难找到一个和投资项目 IRR 一样的投资回报率 ; 而且理论上每个投资项目不能保证投资后的现金流均为正, 尤其是在风险性比较大的航运船舶投资中, 一旦有负现金流出现, 可能出现多个 IRR 相较而言,NPV 中的再投资假设是按资金成本再投资, 这在实际资本市场 上是比较可行的 ; 同时 NPV 反映了盈利的绝对额, 投资者比较关注 而投资回收期 PP 虽然没有考虑船舶投资回收后的运营情况, 但其意义明确直观, 在一定程度上反映了投资项目的经济性以及风险性 综合上述各项指标的优缺点, 本文将采用现金流折现 NPV 和投资回报期 PP 为项目评价的标准 1.3 研究思路和框架本文的研究思路为 : 首先, 明确研究的问题及研究的现实意义, 确定本文的研究方法 ; 其次, 对航运市场 ( 尤其是干散货市场 ) 进行分析 ; 再次, 在市场分析的基础上分析船舶投资的资本结构以及成本, 并对超灵便型干散货船项目的投资进行分析评价 ; 最后得出结论和建议 具体研究框架如图 1-1 所示 4

14 超灵便型干散货船投资效益评价 第 2 章航运市场行业分析 2.1 航运市场概述国际航运市场是世界经济和国际贸易衍生出来的市场, 是指利用水上运输的方式将货物从一地运往另一地, 实现其空间位移 从市场需求方面来看, 是由国际贸易产生国际航运需求 ; 从市场供给方面来看, 是国际造船 船舶买卖 拆船等产生了国际航运运力供给 国际航运市场分为定期船运输市场 (liner shipping) 和不定期船运输市场 (tramp shipping), 其中定期船运输市场主要指集装箱运输, 不定期船运输市场主要指干散货运输和油轮运输 定期船运输市场定期船运输也称班轮运输, 主要以集装箱运输为需求 集装箱运输始于二十世纪六十年代的美国海陆公司 (Sea Land Service Inc) 在美国东海岸的新泽西至休斯顿的沿海运输, 此后得到迅速发展 其运输的货物具有批量少 单件重量小 货物价值高 易碎 要求运送速度快和能及时投放市场的特点 主要有电子产品 服装鞋类 玩具 机械设备和零部件等 集装箱班轮运输市场具有 四固定 特点 : 固定航线 固定船期 固定港口和固定费率 固定费率是指船公司会每一时期内公布某一航线的运价表 ( 在中国, 航运公 司必须向交通部备案其运价表 ) 班轮运价表有三种形式 : 班轮公司运价表 班 轮公会运价表和双边运价表 ( 也称合约价 ) 1 班轮公司运价表是指由班轮公司自己制订的运价表 2 班轮公会运价表是指参加班轮公会的班轮公司所使用的运价表 班轮公会是指某一航线上若干家航运公司组成一个组织来协调该航线的运力投放 运价制定以及各种附加费 比较有名的班轮公会有远东班轮公会 (Far Eastern Freight Conference, FEFC) 以及泛太平洋运价稳定组织 (Trans-pacific Stabilization Agreement, TSA) 等 其中, 远东班轮公会 (FEFC) 被欧盟按照欧盟 4056/86 规 6
15 第 2 章 航运市场行业分析 则于 2008 年 10 月 17 日废除其反垄断豁免权而于 2008 年 10 月 18 日停止运作 1 而泛太平洋运价稳定组织 (TSA) 因班轮公会在美国享有反垄断豁免权而继续运作 3 双边运价表是根据货主承诺的货量, 航运公司和货主双边谈判制定某一航线的全年运价, 货主一般是全球性公司, 和航运公司有一定的议价能力, 比较 能反映船货双方的利益和要求 而班轮公司和班轮公会两种运价表的制定话语权 集中在班轮公司及班轮公会上, 具有一定的垄断性, 中小型货主处于弱小不平等 地位 据法国专业集装箱航运咨询机构 Alphaliner 统计, 截止至 2012 年 12 月 13 日, 全球拥有集装箱船 5953 艘, 运力为 16,796,630TEU 2 运力排名第一的航运公司占比为 15.3%, 前 4 家航运公司的运力占比达到 41.35% 可见, 集装箱运输市场是一个寡头垄断市场, 加之其对集装箱运输服务网络 信息系统以及人才有较高要求, 进入该领域门槛较高 不定期船运输市场不定期船运输又称租船运输, 是指不以固定航线和靠泊港口, 也没有固定的船期和运价而从事运营的一种船舶运输方式, 其历史最为悠久 在不定期船运输市场中, 根据船舶提供服务的方式不同, 又可以分为航次租船 定期租船 光船租船和包运租船四种 3 1 航次租船(Voyage Charter, Trip Charter, VC) 航次租船又称航程租船或程租船 在此运输方式下, 卖方是船舶的经营者或 拥有者, 而买方是货主或贸易商, 买卖双方就某一货物从某一港口到另一港口签 订租船合同 程租合同以货物为标的, 以运费为报酬, 其一般以美元每吨为单位 货主或贸易商即买方只需支付合同约定的运费, 而航程途中的船舶燃料费用 港口使费等航次费用均由船舶经营者即卖方负责, 同时卖方负责整个航次的生产调度 物料供应等 1 远东班轮公会将于 2008 年 10 月 18 日停止运作 [J]. 中国经贸,2008,( 6): TEU: Twenty feet Equivalent Unit, 长度为 20 英尺的集装箱国际计量单位, 通常用来表示集装箱船舶的装载能力 3 胡美芬 黄义源. 远洋运输业务 [M]. 北京 : 人民交通出版社,2005.P28. 7
16 超灵便型干散货船投资效益评价 2 定期租船(Time Charter, TC) 在定期租船中, 买方是船舶的经营者 ( 也称为承租人 ), 卖方为船舶的所有者 ( 也称为船东或出租人 ), 以船舶为标的买卖双方签订租船合同, 以船舶租金为报酬, 一般以美元每天为单位 根据国际租船惯例, 承租人必须提前 15 天向出租人支付下一个月的船舶租金 在期租租船合同中, 承租人负责船舶航程中除 船员工资 船舶维修保养以及船舶保险费等固定费用以外的其他费用, 例如 : 燃 油费用 拖轮费 港口使费 代理费等航次费用, 租期内的生产调度由承租人负 责 船东或出租人则必须在规定的时间内从一个交船点或一个港口把船舶交给承租人使用并收取租金, 到期后承租人在一个还船点或一个港口把船舶还给船东 期租合同的时间有长有短, 长可以 3 年 5 年 10 年甚至更长, 短则 1-3 个月 3 光船租船(Bareboat Charter, BC) 光船租船是指船舶出租人向承租人提供不配备船员的船舶, 在约定的期间内由承租人占有 使用和营运, 并向出租人支付租金的一种财产租赁方式 承租人负责配备船员 供给船舶 调度船舶以及运营安排并负担船舶保险等所有的运营费用 船东 ( 出租人 ) 因不配备自己的船员而很难控制船舶, 尤其是在国际干散货船市场中确有部分承租人信誉度不高的情况下, 光租租船风险比较大, 所以其在干散货市场实务中并不常见 4 包运租船(Contract of Affreightment, COA) 包运租船是指船舶所有人或经营人以一定运力, 在确定的港口之间按事先约定的时间 航次周期, 每航次以较均等的运量, 完成全部货物运输的一种租船方式 其合同也是以货物为运输标的, 运费为报酬 在国际航运市场实务中, 航次租船和定期租船是比较主流的运输方式 因此, 下文分析的超灵便型干散货船运营模式只包括航次租船和定期租船两种 为表述方便, 下文均把航次租船简称为程租, 定期租船简称为期租 2.2 干散货市场分析 干散货市场概述 干散货运输市场中成交的货物主要是适合整船运输的大宗散货以及小部分 的干杂货和特种货 这类货物的特点是货量大且批次多 对运输速度要求不高 8
