5 内容摘要 内容摘要 根本违约 (fundamental breach) 起源于英国合同法, 美国法称之为 重大违约 (material breach) 大陆法国家虽然没有 根本违约 的概念, 但有相关的制度, 比如合同解除制度 联合国国际货物销售合同公约 (1980 年 ) 国际商 事合同通则 (1994 年版和 2004 年版 ) 以及 欧洲合同法原则 (1998 年 ) 都对 根本违约有明确的规定 但不论国内法还是国际立法都没有根本违约的统一概 念, 而是更加关注对根本违约的认定标准和法律后果的规定 本篇论文试从五个方面论述根本违约制度 第一章论述根本违约的起源与性质 根本违约源于判例法, 其判定标准从 19 世纪的 条款主义 发展到当前主流的 客观结果主义 根本违约不是一种新 的违约形态, 只是对违约程度的一种描述 第二章分析根本违约的认定标准 国内法和国际立法对根本违约的认定标准 不一 本文在分析两大法系以及 联合国国际货物销售合同公约 对根本违约的 一般认定标准之余, 还结合国内法及国际统一立法的规定, 分析了具体违约形态 下的根本违约的构成 第三章论述根本违约的法律后果 除了产生和限制合同解除权的功能, 根本 违约还有免责阻却功能 第四章论述根本违约的法律价值, 包括合同自由, 公平, 安全与效益 最后, 本文简要分析根本违约理论对我国 合同法 的影响 关键词 : 根本违约 ; 认定标准 ; 法律后果

7 ABSTRACT ABSTRACT The system of fundamental breach can be traced back to British contract law. It is called material breach in American law. In civil law countries, although there is no definite concept of fundamental breach, it has relevant systems with fundamental breach, such as the system of rescinding contract. The concept and system of fundamental breach has been acknowledged by international law, including the 1980 United Nations Convention on Contracts for the International Sale of Goods (infra CISG), the UNIDROIT Principles of International Commercial Contracts in 1994 and 2004, as well as the 1998 Principles of European Contract Law. However, neither domestic law nor international law has specified a uniform concept of fundamental breach. Rather, they focus on the constitution and legal effect of fundamental breach. This paper tries to discuss the system of fundamental breach in five aspects. Part One discusses the origin and nature of fundamental breach. Fundamental breach originates from the 19-century common law theory, which focuses on the terms of the contract. The present prevailing rule is the objectivism theory, which focuses on the results of the breach. As to the nature of fundamental breach, it is not a new form of breach, but a kind of description of the degree of breach. Part Two discusses the criteria of the constitution of fundamental breach. The criteria in domestic law and international law are inconsistent. Besides the discussion of the general criteria in the civil law system, common law system and CISG, this paper also discusses the constitution of fundamental breach in concrete forms of contract breach. Part Three analyzes the legal effects produced by fundamental breach, which include production, restriction of the right to rescind the contract, and hindering the application of exemption clauses. Part Four discusses the underlying values of fundamental breach, including the legal values of contractual freedom, equity, security and efficiency. Lastly, this paper makes a short commentary on the influence of the fundamental breach theory on the PRC Contract Law. Key Words: Fundamental Breach; Criteria of Constitution; Legal Effect

13 引言 引 言 根本违约 (fundamental breach) 制度由英美判例法发展而来 迄今已被各国合同法和国际公约所采纳 国际统一立法中最早明确使用 根本违约 (fundamental breach) 这一概念的是联合国国际贸易法委员会于 1978 年制定的 联合国国际货物销售合同公约 ( 草案 ) 该草案规定, 如果一方当事人违反合同 给另一方造成实质性损害即为根本违约 在 1980 年维也纳外交会议上, 各国代表 对该规定进行了激烈的争论 这一方面反映出各国对于根本违约这一概念在理解 上的差异, 另一方面也反映出这一概念在国际贸易合同中的重要性 1 最终于 1980 年通过的 联合国国际货物销售合同公约 ( 以下简称 公约 ) 第 25 条规 定了根本违约制度, 并且该制度成为 公约 的核心部分 我国作为 公约 的 缔约国, 对该制度进行研究在理论与实践上都有重要意义 由于各大法系以及国 际公约对根本违约制度的规范不同, 究竟何谓根本违约, 如何判定, 如何看待这 一制度的性质及意义, 其法律后果有哪些, 以及这一制度在我国合同法中地位如 何等等, 仍有待探询 本文试着用比较研究的方法和案例分析的方法, 从这些方 面论述根本违约制度 1 联合国国际货物销售合同公约会议正式记录 [Z]. 联合国文件 A/CONF, 97/19. 1
14 根本违约制度研究 第一章 根本违约的起源和性质 第一节根本违约的起源和演变历程 一 英国法中的条款主义 ( 一 ) 违反 条件条款 构成根本违约 根本违约 (fundamental breach) 起源于英国判例法 根本违约 一词最早出 现在 1936 年英国 海因斯公司诉泰特与莱尔 一案的法官判决中 1 但是, 根 据一些英国学者的看法, 早在 1851 年出现的 Ellen 诉 Topp 一案件中, 就已经出 现根本违约的概念 而真正确立这一制度, 则始于 1876 年波萨德诉斯皮尔斯 (Poussard v. Spiers) 一案 2 19 世纪以来, 英国法将合同条款分为条件 (condition) 和担保 (warranty) 两类 条件 是合同中重要的, 根本性的条款 担保 是 合同中次要的, 附属性的条款 当事人违反不同的条款所产生的法律后果是不同 的 如果是 条件条款, 任何违反将使受损方有权解除合同并索取赔偿, 当然 其履约责任也解除 所以, 条件 一词意味着 A 的履约责任以 B 履行其允诺为 条件 而 担保 仅赋予受损方索取赔偿的权利, 而无权解除合同, 受损方履行 有关合同义务并未受到影响 3 条件和担保的区别可以通过以下两个案例来说明 在 1876 年波萨德诉斯皮 尔斯 (Poussard v. Spiers) 一案中, 一女演员与剧场约定在歌剧中担任主角 但后 来由于生病, 该演员在歌剧上演期到来时未到达剧场 歌剧上演后一周她才赶到, 但此时剧场经理已经找其他人担任主角并解除合同 法院认为, 该女演员违背了 条件条款, 故剧场经理有权解除合同 但在另一个同样涉及歌手的 1876 年贝 蒂尼诉盖伊 (Bettini v. Gye) 一案中, 4 法院却做出了相反的判决 该案中, 某歌 剧演员许诺为英国的某音乐会表演 3 个月, 并约定在音乐会开始前 6 天就开始排 练 但该演员实际上仅提前两天抵达伦敦, 导演拒绝履约并要求解约, 由此提起 1 焦津洪. 论根本违约 [J]. 中外法学,1993,(1):43. 2 [ 英 ]Poussard v. 15 第一章根本违约的起源和性质 诉讼 法庭裁定, 原告违反的仅是担保条款, 因为合同的实质条款是当事人履行表演义务, 而排练仅属于次要义务, 因此合同并没有被解除 1 由此可见, 早期英国判例中, 只有违反条件条款才构成根本违约 ( 二 ) 违反 中间条款 也可能构成根本违约随着时代的演进,20 世纪中期开始, 英国法院发现, 将合同划分为条件与担保两类是不全面的, 还存在着第三类条款, 违反该类条款既可能让受损方有权解 除合同, 也可能让他无法解除合同 这取决于违约的性质与效果 比如, 对这类 条款的违反, 有时仅对随后的合同产生轻微的影响, 有时却可能使合同无法履行 如果为前者, 受损方有权索赔, 但仍须履行他的义务 ; 如果为后者, 他则有权索 赔及终止合同 这类条款称为 中间条款 (intermediate terms) 或者 无名条款 (innominate terms), 因为他们处于 条件 与 担保 之间 2 确认这种条款 的典型案例是 1962 年香港菲尔装船有限公司诉卡韦沙基 基森 卡萨有限公司 (Hong Kong Fir Shipping Co. Ltd. v. Kawasaki Kisen Kaisha Ltd.) 一案 3 该案中, 船东对船舶适航性明示允诺 : 船舶在各方面适宜于运输普通货物 先前的判例 表明, 即使是最微小的不适航也是违反该条件条款 但审理该案的约普厄翰大法 官却认为这种适航性的保证实际上并未视为条件, 他解释道 : 适航性的条 款会因为船舶任何方面的轻微不适而遭到违反 如果一颗钉子从木船的板材 上脱落, 或在航行中没有正常的医药供应, 或两个锚未置于甲板上等等, 那么船 主就违反了适航的保证 在这些情况下, 当事人期望租船人有权就对方的轻微违 约而立即解除合同, 是违背常理的 4 英国对 中间条款 的新分类, 体现了一种向美国及大陆法系国家以违约后 果作为划分标准的 客观主义 靠拢的趋势 正如阿蒂亚所指出的 : 违反某些 条款的后果取决于违约所产生的后果, 其理由是, 一方因违约而取消合同的权利, 实际上是根据违约之严重性决定的, 而不是由被违背的条款的类别决定的 有些 似乎对合同是非常重要的条款, 可能仅在较小的程度上遭到破坏, 未引起严重后 果 这样, 也就没有理由因一方违约而赋予另一方取消合同的权利 5 可见, 英 1 何宝玉. 英国合同法 [M]. 北京 : 中国政法大学出版社, [ 英 ] 约翰 史密斯. 合同法 [M]. 张昕译, 北京 : 法律出版社, [ 英 ]Hong Kong Fir Shipping Co. 16 根本违约制度研究 国法对根本违约不再拘泥于条款类别, 不仅违反 条件条款 构成根本违约, 违 反 中间条款 也可能构成根本违约 二 美国法与大陆法的客观结果主义 虽然英国普通法对合同条款所作的 条件 与 担保 之分类, 对美国合同法产生了较大的影响, 但是美国法的规定不尽相同 美国没有使用 根本违约 的概念, 通常使用的是 重大违约 (material breach) 1 当一方当事人构成重大 违约时, 另一方有权解除合同 尽管 重大违约 与 违反条件 在法律后果上 相似, 但实际上代表着两种完全不同的思维方法 条件 是对合同条款性质的 表述, 判断某一条款是否属于 条件, 必须考察双方当事人在订立合同时是否 把它当作合同的要素 (essence), 因而是主观的 ; 重大违约 则是对违约后果的 描述, 判断违约是否重大, 必须考察违约给对方所造成的实际损害的大小, 因而 是客观的 2 把违约分为严重违约和非严重违约最早可以追溯到罗马法中的 法律不理琐 事 原则 3 但继受了罗马法的大陆法系国家并没有 根本违约 的明确概念, 学者们一般把违约区分为给付不能 给付迟延 给付拒绝和不完全给付等, 并且 规定了合同解除制度 4 在法国, 法院在判断是否允许非违约方解除合同时, 违 约的严重程度是一个重要的参考因素, 但就违约严重程度之判断并未形成统一的 标准和概念 德国对于违约的严重程度也没有一个统一的标准, 值得注意的是, 根据德国法, 当因一方的原因致部分给付不能 给付迟延或不完全给付时, 如果 合同的履行对于对方无利益, 对方得解除合同 此处所谓 无利益, 是指受 害方已无法获得订立合同时所期待得到的利益 学说上认为德国法的 无利益 概念与英美法中的 根本违约 或 重大违约 颇为相似, 惟其内容及适用范围 要窄一些 5 1 STOCKTON, JOHN M. & MILLER, FREDERICK H. 货物买卖与租赁 [M]. 北京 : 中国人民大学出版社, At common law and under the Sales Act (Section 45) the terminology was that of material breach instead of substantial impairment.
