2 ANNOUNCEMENT OF OFFER PRICE AND ALLOTMENT RESULTS SUMMARY. The Offer Price has been determined at HK$0.20 per Offer Share (exclusive of brokerage fee of 1%, SFC transaction levy of % and Stock Exchange trading fee of 0.005%).. Based on the Offer Price of HK$0.20 per Offer Share, the amount of net proceeds from the Public Offering to be received by the Company, after deducting the underwriting commissions, the SFC transaction levy, the Stock Exchange trading fee and other related listing expenses payable by the Company in the Public Offering, is estimated to be approximately HK$38.0 million. The Company intends to apply such net proceeds from the Public Offering in a manner set out in the paragraph headed Offer Price and Use of Net Proceeds in this announcement.. A total of 2,262 valid applications have been received pursuant to the Public Offering on WHITE and YELLOW Application Forms and through giving electronic application instructions to HKSCC via CCASS and to the HK eipo White Form Service Provider through the HK eipo White Form service ( for a total of 566,110,000 Offer equivalent to approximately 174% of the total number of 325,000,000 Offer available for subscription under the Public Offering.. The amount of net proceeds from the Public Offering to be received by the Company, after deduction of underwriting fees and commissions and estimated total listing expenses paid/ payable by the Company in connection with the Public Offering, are estimated to be approximately HK$38.0 million. The Company intends to apply the net proceeds from the Public Offering for the following purposes: (a) (b) (c) (d) (e) (f) approximately 51.2%, or HK$19.4 million, will be used for the strengthening of the Group s industry position and expansion of business; approximately 19.9%, or HK$7.6 million, will be used for the repayment of bank loans; approximately 9.4%, or HK$3.6 million, will be used for the strengthening of the Group s technical and project management capabilities; approximately 6.5%, or HK$2.5 million, will be used for the establishment of a Macau office/warehouse; approximately 4.2%, or HK$1.6 million, will be used for the purchase of tools and equipment; and approximately 8.8%, or HK$3.3 million, will be applied for the general working capital of the Group. LEVEL OF APPLICATIONS UNDER THE PUBLIC OFFERING The Company announces that at the close of the application lists at 12:00 noon on Friday, 19 May 2017, a total of 2,262 valid applications have been received pursuant to the Public Offering on WHITE and YELLOW Application Forms and through giving electronic application instructions to HKSCC via CCASS and to the HK eipo White Form Service Provider through the HK eipo White Form service ( for a total of 566,110,000 Offer, equivalent to approximately 174% of the total number of 325,000,000 Offer available for subscription under the Public Offering. 4

5 Applications not completed in accordance with the instructions set out in the Application Forms have been rejected. Four multiple applications or suspected multiple applications have been identified and rejected. No application has been rejected due to bounced cheque. No application for more than 162,500,000, being 50% of the total number of Offer available under the Public Offering, has been identified. Out of 2,262 valid applications for a total of 566,110,000 Offer : 2,253 valid applications for a total of 286,110,000 Offer were for Offer with an aggregate subscription amount based on the maximum Offer Price of HK$0.26 per Offer Share (excluding brokerage fee of 1.0%, SFC transaction levy of % and Stock Exchange trading fee of 0.005%) of HK$5.0 million or less (equivalent to approximately 176% of the 162,500,000 Offer initially available for allocation in pool A of the Public Offering). 9 valid applications for a total of 280,000,000 Offer were for Offer with an aggregate subscription amount based on the maximum Offer Price of HK$0.26 per Offer Share (excluding brokerage fee of 1.0%, SFC transaction levy of % and Stock Exchange trading fee of 0.005%) of more than HK$5.0 million (equivalent to approximately 172% of the 162,500,000 Offer initially available for allocation in pool B of the Public Offering). 17 DESPATCH/COLLECTION OF SHARE CERTIFICATES AND REFUND MONIES Applicants who have applied for 1,000,000 or more Offer using WHITE Application Forms and have provided all information required by their Application Forms or applicants who have applied for 1,000,000 or more Offer through the HK eipo White Form service by submitting an electronic application through the designated website and the application is wholly or partially successful, may collect their share certificate(s) and/or refund cheque(s) (where applicable) in person from Tricor Investor Services Limited at Level 22, Hopewell Centre, 183 Queen s Road East, Hong Kong, from 9:00 a.m. to 1:00 p.m. on Thursday, 25 May 2017 or such other date as notified by the Company. Applicants being individuals who are eligible for personal collection must not authorise any other person(s) to collect on their behalf. Applicants being corporations who are eligible for personal collection must attend by their authorised representative(s) bearing a letter of authorisation from such corporation(s) stamped with the corporation s chop. Both individuals and authorised representatives (if applicable) must produce, at the time of collection, evidence of identity acceptable to the Hong Kong Share Registrar. If the applicants do not collect their share certificate(s) and/or refund cheque(s) personally within the time specified for collection, their share certificate(s) and/or refund cheque(s) will be despatched promptly to the address specified in their Application Forms by ordinary post at their own risk. Applicants who have applied for less than 1,000,000 Offer on WHITE Application Forms or applicants who have applied for less than 1,000,000 Offer through the HK eipo White Form service by submitting an electronic application through the designated website will have their share certificate(s) and/or refund cheque(s) (where applicable) sent to the address on their Application Forms on Thursday, 25 May 2017, by ordinary post and at their own risk. Share certificates (if any) for Offer to applicants using YELLOW Application Forms and those who applied by giving electronic application instructions to HKSCC via CCASS are expected to be deposited into CCASS for credit to their CCASS Investor Participant s stock accounts or the stock accounts of their designated CCASS Participants, as appropriate, on Thursday, 25 May 2017 or, in the event of a contingency, on any other date determined by HKSCC or HKSCC Nominees. Applicants applying as a CCASS Investor Participant on a YELLOW Application Form or by giving electronic application instructions to HKSCC via CCASS may also check their new account balances via the CCASS Phone System and the CCASS Internet System on Thursday, 25 May Immediately following the credit of the Offer to their CCASS Investor Participants stock accounts, HKSCC will also make available to CCASS Investor Participants an activity statement showing the number of Offer credited to their CCASS Investor Participant s stock accounts and the amount of refund monies (if any) credited to their designated bank account. 10

18 Refund cheques for wholly or partially unsuccessful applicants using WHITE or YELLOW Application Forms which are either not available for personal collection or which are so available but are not collected in person within the time specified for collection will be despatched promptly by ordinary post (at the applicant s own risk) to the address specified on the Application Forms. For applicants who have applied for the Offer using the HK eipo White Form service and who have paid the application monies from a single bank account, any refund monies will be despatched to the bank account in the form of e-auto Refund payment instructions. Applicants who have applied through HK eipo White Form service and paid the application monies from multiple bank accounts, any refund monies will be despatched to the address as specified in their application instructions to the HK eipo White Form Service Provider in the form of refund cheque(s) on Thursday, 25 May 2017, by ordinary post at their own risk. Refund of the application monies (if any) in respect of wholly or partially unsuccessful applications and/or difference between the Offer Price and the maximum Offer Price per Offer Share initially paid on application (including brokerage fee, SFC transaction levy and the Stock Exchange trading fee but without interest) made via giving electronic application instructions to HKSCC will be credited to their designated bank accounts or the designated bank accounts of their brokers or custodians on Thursday, 25 May Share certificates for the Offer will only become valid at 8:00 a.m. on Friday, 26 May 2017 provided that the Public Offering has become unconditional and the right of termination described under the section headed Underwriting Grounds for Termination in the Prospectus has not been exercised. No temporary of title will be issued in respect of the Offer. No receipt will be issued for sums paid on application for the Offer. PUBLIC FLOAT Immediately following completion of the Public Offering, no less than 25% of the total number of issued will be held by the public in compliance with the requirements under Rule 11.23(7) of the GEM Listing Rules. Pursuant to Rule 11.23(2)(b) of the GEM Listing Rules, the in the hands of public should, as at the time of Listing, be held among at least 100 persons. At the time of Listing, there will be 2,263 Public Shareholders. There will not be any new substantial shareholder of the Company within the meaning of the GEM Listing Rules immediately following completion of the Public Offering. Pursuant to Rule 11.23(8) of the GEM Listing Rules, not more than 50% of the in public hands at the time of the Listing can be beneficially owned by the three largest public Shareholders.
