1 Decree-Law no. 40/99/M COMMERCIAL CODE TITLE X REGULATION OF COMPETITION BETWEEN ENTREPRENEURS CHAPTER I COMPETITION BETWEEN ENTREPRENEURS IN GENERAL Article 153 (Legal limits) 1. Competition between entrepreneurs shall take place in a manner that does not harm the interests of the economy of the Territory, and within the limits established by the law. 2. All agreements or practices that have the object or effect of preventing, falsifying or restricting competition are forbidden, without prejudice to special provisions. Article 154 (Contractual limits) 1. An agreement restricting competition between entrepreneurs shall, under penalty of nullity, respect the limits indicated in the previous article and be made in writing. 2. For the agreement to be valid, it must be limited to a certain zone or to a certain activity. 3. If the duration of the agreement was not set, or was set for a longer period, it shall be valid for five years only. Article 155 (Obligation to contract) Whoever exercises an enterprise in conditions of legal monopoly is obliged to contract with whoever requires the performances which constitute the object of the enterprise, observing the principle of equality of treatment. CHAPTER II UNFAIR COMPETITION

2 Article 156 (Objective scope) 1. The conducts mentioned in this Chapter are considered unfair if they are practiced in the market with the purpose of competition. 2. It is presumed that the act is practiced with the purpose of competition if, by the circumstances in which it takes place, it is objectively adequate to promote or to ensure the distribution in the market of the products or services of the party or of a third party. Article 157 (Subjective scope) 1. The norms on unfair competition apply to entrepreneurs and to whoever participates in the market. 2. The application of the rules on unfair competition is independent of the fact that the subjects act in the same branch of activity. Article 158 (General clause) Unfair competition is any act of competition that objectively reveals itself to be in breach of the norms and honest usage of economic activity. Article 159 (Acts of confusion) 1. An act is considered as unfair if it is adequate to create confusion with the enterprise, the products, the services or the credit of competitors. 2. The risk of association by consumers regarding the origin of a product or service is sufficient basis to consider a practice unfair. Article 160 (Misleading acts) The use or broadcast of incorrect or false indications, as well as the omission of real ones, as well as any act which, by the circumstances in which it takes place, has the potential to induce in error the persons it reaches, or to whom it is addressed, regarding the nature, aptitudes, qualities and quantities of the products or services and, in general, the advantages really offered, is considered unfair.

3 Article 161 (Offers) 1. The delivery of offers with advertising purposes, and analogous commercial practices, are considered unfair if, by the circumstances in which they take place, the consumer is put in a situation of having to contract the main performance. 2. The offer of any type of advantage or premium for the case of acquiring the main performance is considered unfair if it induces or can induce the consumer in error concerning the level of prices of other products or services of the same entrepreneur, or if it renders excessively difficult the assessment of the effective value of the offer or its comparison with alternative offers. Article 162 (Negative statements) 1. The making or broadcast of statements on the enterprise, products, services or commercial relations of competitors, which are apt to diminish their credit in the market, is considered unfair except if they are exact, true and pertinent. 2. Statements on the nationality, the religious or ideological beliefs, the private life or any other exclusively personal circumstances of any person are not considered pertinent. Article 163 (Acts of comparison) 1. The public comparison of one or another person's enterprise, products or services with those of a competitor is considered unfair if it relates to realities that are not analogous, relevant or ascertainable. 2. The comparison shall also be considered unfair if it is made in the terms indicated in articles 160 and 162. Article 164 (Acts of imitation) 1. Imitation of the products, services or entrepreneurial initiatives of other persons is free, unless they are protected by an exclusive right recognized by the law. 2. Imitation of the products or services of a third party is considered unfair if it is adequate to create an association on the part of consumers in relation to the product or service, or if it makes it possible to unduly take advantage of the reputation or efforts of other persons. 3. The inevitability of the risk of association or of exploitation of the reputation of other persons excludes the unfairness of the respective practice.

Without prejudice to the previous paragraph, the systematic imitation of the products, services and entrepreneurial initiatives of a competitor is considered unlawful if the said strategy is directly aimed at hindering or obstructing his affirmation in the market and exceeds what, according to the circumstances, may be considered a natural response from the market. Article 165 (Exploitation of other persons' reputation) Improper exploitation of the entrepreneurial reputation of another person, to one's own benefit, or to a third party's, is considered unfair. Article 166 (Breach of secrets) 1. The spreading or exploitation, without permission from the holder, of industrial secrets or any other entrepreneurial secrets that were either accessed legitimately, but with a duty of confidentiality, or not legitimately, namely as a consequence of any of the conducts mentioned in the following article, is considered unfair. 2. For the purpose of this article, all and any technical or commercial information that has a practical use and provides economic benefits to the holder, which is not public knowledge, and in relation to which the holder took appropriate security measures to guarantee its respective confidentiality, is considered an entrepreneurial secret. Article 167 (Promotion and exploitation of contractual breaches) 1. The instigation of employees, suppliers, clients and other obliged parties to the breach of contractual obligations that they have undertaken towards competitors, is considered unfair. 2. The promotion of the regular termination of a contract or the exploitation of another person's contractual breach, if known, to own or to a third party's benefit, are considered unfair if they have as object the diffusion or exploitation of an enterprise secret, or take place with circumstances such as deceit, the intention to eliminate a competitor from the market, or analogous ones. Article 168 (Exploitation of dependence) The undue exploitation by an entrepreneur of a situation of dependence, with economic repercussions, in which entrepreneurs who are his clients or suppliers may find themselves, and who do not have an equivalent alternative for the exercise of their activity, is considered unfair. Article 169

5 (Sales at a loss) Sales effected below the cost or acquisition price are considered unfair, if they are part of a strategy directed at the elimination of a competitor or group of competitors from the market. Article 170 (Judicial action for unfair competition) Judicial action for unfair competition shall be initiated within one year from the date when the injured party had or could have had knowledge of the person who practiced the facts that provide its basis, but not more than three years after their occurrence. Article 171 (Sanctions) A judicial decision declaring the existence of acts of unfair competition shall determine the prohibition of the continuation of the said practice, and shall indicate the appropriate means to eliminate the respective effects. Article 172 (Compensation for damage) 1. If acts of unfair competition are practiced intentionally or with fault, the tortfeasor is obliged to compensate the damage caused. 2. In the case mentioned in the previous paragraph, publication of the judicial decision can be ordered. 3. If the existence of acts of unfair competition is proven, fault is presumed. Article 173 (Legitimacy of entities representing of interested parties) If acts of unfair competition harm the interests of a category of interested parties, the judicial action for unfair competition can also be initiated by entities representing the said category. 公報原始 PDF 版本

7 以法定專營制度經營企業者, 必須與向其要求提供企業所營事業之服務之人訂立合同, 且須遵守平等對待原則第二章不正當競爭第一百五十六條 ( 適用之客體範圍 ) 一本章所指之行為如在市場上以競爭為目的而作出, 則視為不正當競爭行為二如作出行為之情況客觀顯示出該行為能促進或確保其本人或第三人之產品或服務在市場上銷售者, 則推定為以競爭為目的而作出之行為第一百五十七條 ( 適用之主體範圍 ) 一不正當競爭之規則適用於企業主及一切參與市場活動者二不論主體是否在同一行業從事業務, 均適用關於不正當競爭之規則第一百五十八條 ( 一般條款 ) 一切在客觀上表現出違反經濟活動規範及誠信慣例之競爭行為, 均構成不正當競爭行為第一百五十九條 ( 混淆行為 ) 一一切能對競爭者之企業產品服務或信譽造成混淆之行為均視為不正當競爭行為二所作出之行為能使消費者聯想到第三人之產品或服務者, 足以視為屬不正當競爭行為第一百六十條 ( 欺騙行為 )

8 使用或傳播不正確或虛假指示不作真實指示或作出任何其他行為時, 如作出該等行為之情況, 會使上述行為所針對或受其影響之人對有關產品或服務之性質功能質量數量或一般而言對產品或服務實際提供之益處產生誤解者, 視為不正當競爭行為第一百六十一條 ( 饋贈 ) 一為廣告目的作出饋贈及作出類似之商業行為, 如根據作出此等行為時之情況, 此種行為令消費者處於必須購買主要給付之情況者, 視為不正當競爭行為二為使人購買主要給付而給予任何種類之利益或獎品, 引致或可引致消費者對同一企業主之其他產品或服務之價格產生誤解, 又或使消費者難以估計饋贈之實際價值或將之與可作選擇之其他饋贈比較者, 視為不正當競爭行為第一百六十二條 ( 詆毀行為 ) 一對競爭者之企業產品服務或商業關係, 使用或傳播能減低其在市場上之信譽之言詞者, 即視為不正當競爭行為, 但準確真實及適當者除外二關於被針對者之國籍宗教信仰或意識形態私生活或其他純屬私人之情況之言詞, 均視為不適當第一百六十三條 ( 比較行為 ) 一將自己或他人之企業產品或服務與競爭者之企業產品或服務作公開比較, 如涉及之實際情況不相類似並不相關或不可比較, 視為不正當競爭行為二比較行為如有第一百六十條及第一百六十二條所規定之情節, 亦視為不正當競爭行為第一百六十四條 ( 模仿行為 ) 一得自由模仿他人企業之產品服務及活動, 但受法律承認之專有權所保障者除外二模仿第三人之產品或服務, 如能使消費者產生與該產品或服務有關之聯想, 或可能不當利用他人之聲譽或成就者, 視為不正當競爭行為

9 三如上述聯想或利用他人之聲譽屬不可避免者, 則不視為不正當競爭行為四雖屬上款規定之情況, 但持續模仿競爭者之企業產品服務及活動, 且其直接意圖為阻止或妨礙其競爭者穩定在市場上之地位, 並超越按情況可視為市場上之正常回應手段者, 亦視為不正當競爭行為第一百六十五條 ( 他人聲譽之利用 ) 為自己或第三人之利益而不當利用他人企業之聲譽, 視為不正當競爭行為第一百六十六條 ( 侵犯秘密 ) 一未經權利人許可, 披露或利用以正當途徑取得但有保密義務之產業秘密或任何其他企業秘密, 或以不正當途徑取得, 尤其以下條所規定之任一行為取得者, 視為不正當競爭行為二為本條之效力, 一切具實際用途能為權利人提供經濟利益不為公眾所知悉且權利人採取適當之保密安全措施之技術訊息或商業訊息, 均視為秘密第一百六十七條 ( 促使他人違反合同及利用他人對合同之違反 ) 一誘使員工供應者顧客及其他須遵守合同義務者違反彼等已向競爭者承擔之合同義務, 視為不正當競爭行為二促使合同依規定終止或於知悉他人之違反合同行為後為自己或第三人利用該行為, 如以披露或利用企業秘密為目的, 或有欺騙意圖將競爭者排擠出市場或其他類似情況者, 視為不正當競爭行為第一百六十八條 ( 依賴關係之利用 ) 企業主作為另一企業主之顧客或供應商, 為經營業務別無其他同等選擇且在經濟上須依賴後者, 如後者不當利用該依賴關係, 視為不正當競爭行為第一百六十九條

10 ( 虧本出售 ) 以低於成本價格或取得價格出售, 而此係將某一競爭者或一些競爭者排擠出市場之策略, 則視為不正當競爭行為第一百七十條 ( 不正當競爭之訴訟 ) 不正當競爭之訴訟應自受害人知悉或可知悉訴訟所依據之事實之行為人之日起一年內向法院提起, 但不得在該等事實發生三年後方提起第一百七十一條 ( 制裁 ) 宣告存在不正當競爭行為之判決, 應命令立即禁止繼續作出該行為, 並指出適當方法消除有關後果第一百七十二條 ( 損害賠償 ) 一不正當競爭行為不論屬故意或過失行為, 行為人均須賠償所引致之損害二在上款所指情況下, 得命令公布有關判決三一經證實存有不正當競爭行為, 即推定有過錯第一百七十三條 ( 代表利害關係人之實體之正當性 ) 如不正當競爭行為損害某類利害關係人之利益, 不正當競爭之訴訟亦得由代表該類利害關係人之實體提起

11 Decreto-Lei n.º 40/99/M de 3 de Agosto CÓDIGO COMERCIAL TÍTULO X Da disciplina da concorrência entre empresários CAPÍTULO I Concorrência entre empresários em geral Artigo 153.º (Limites legais) 1. A concorrência entre empresários deve desenvolver-se por forma a não lesar os interesses da economia do Território e nos limites estabelecidos na lei. 2. São proibidos todos os acordos e práticas que tenham por objecto ou como efeito impedir, falsear ou restringir a concorrência, sem prejuízo do disposto em disposições especiais. Artigo 154.º (Limites contratuais) 1. A convenção que limita a concorrência entre empresários deve, sob pena de nulidade, respeitar os limites indicados no artigo anterior e ser reduzida a escrito. 2. Para a convenção ser válida, é necessário que seja limitada a certa zona ou a uma determinada actividade. 3. Se a duração da convenção não tiver sido fixada ou tiver sido fixada por prazo superior, só é válida pelo prazo de cinco anos. Artigo 155.º (Obrigação de contratar)

12 Quem exerce uma empresa em condições de monopólio legal tem a obrigação de contratar com quem lhe requeira as prestações que constituem o objecto da empresa, observando o princípio da igualdade de tratamento. CAPÍTULO II Concorrência desleal Artigo 156.º (Âmbito objectivo) 1. Os comportamentos previstos neste capítulo consideram-se desleais quando sejam praticados no mercado com fins concorrenciais. 2. Presume-se que o acto é praticado com fins concorrenciais quando, pelas circunstâncias em que se realize, se revele objectivamente idóneo para promover ou assegurar a distribuição no mercado dos produtos ou serviços do próprio ou de terceiro. Artigo 157.º (Âmbito subjectivo) 1. As normas sobre concorrência desleal aplicam-se aos empresários e a todos aqueles que participam no mercado. 2. A aplicação das regras sobre concorrência desleal é independente do facto de os sujeitos actuarem no mesmo ramo de actividade. Artigo 158.º (Cláusula geral) Constitui concorrência desleal todo o acto de concorrência que objectivamente se revele contrário às normas e aos usos honestos da actividade económica. Artigo 159.º (Actos de confusão) 1. Considera-se desleal todo o acto que seja idóneo a criar confusão com a empresa, os produtos, os serviços ou o crédito dos concorrentes. 2. O risco de associação por parte dos consumidores relativo à origem do produto ou do serviço é suficiente para fundamentar a deslealdade de uma prática.

13 Artigo 160.º (Actos enganosos) Considera-se desleal a utilização ou difusão de indicações incorrectas ou falsas, a omissão das verdadeiras e todo e qualquer acto que, pelas circunstâncias em que tenha lugar, seja susceptível de induzir em erro as pessoas às quais se dirige ou alcança, sobre a natureza, aptidões, qualidades e quantidades dos produtos ou serviços e, em geral, sobre as vantagens realmente oferecidas. Artigo 161.º (Ofertas) 1. A entrega de ofertas com fins publicitários e as práticas comerciais análogas consideram-se desleais quando, pelas circunstâncias em que se realizem, coloquem o consumidor em situação de ter de contratar a prestação principal. 2. A oferta de qualquer tipo de vantagem ou prémio para o caso de se adquirir a prestação principal considerar-se-á desleal quando induza ou possa induzir o consumidor em erro acerca do nível de preços de outros produtos ou serviços do mesmo empresário, ou quando dificulte sobremaneira a apreciação do valor efectivo da oferta ou a sua comparação com ofertas alternativas. Artigo 162.º (Actos de denegrição) 1. Considera-se desleal a realização ou difusão de afirmações sobre a empresa, os produtos, os serviços ou as relações comerciais dos concorrentes que sejam aptas a diminuir o seu crédito no mercado, salvo se forem exactas, verdadeiras e pertinentes. 2. Não se consideram pertinentes as considerações que tenham por objecto a nacionalidade, as convicções religiosas ou ideológicas, a vida privada ou quaisquer outras circunstâncias exclusivamente pessoais do visado. Artigo 163.º (Actos de comparação) 1. Considera-se desleal a comparação pública da empresa, dos produtos ou serviços próprios ou alheios com os de um concorrente quando aquela se refira a realidades que não sejam análogas, relevantes ou comprováveis. 2. Reputar-se-á também desleal a comparação, quando seja efectuada nos termos indicados nos artigos 160.º e 162.º

14 Artigo 164.º (Actos de imitação) 1. A imitação dos produtos, serviços e iniciativas empresariais alheios é livre, a não ser que os mesmos estejam protegidas por um direito exclusivo reconhecido por lei. 2. A imitação dos produtos ou serviços de um terceiro reputar-se-á desleal quando seja idónea a criar a associação por parte dos consumidores relativamente ao produto ou serviço ou possibilite um aproveitamento indevido da reputação ou esforço alheios. 3. A inevitabilidade dos riscos de associação ou de aproveitamento da reputação alheia exclui a deslealdade da respectiva prática. 4. Não obstante o disposto no número anterior, considerar-se-á desleal a imitação sistemática dos produtos, serviços e iniciativas empresariais de um concorrente quando a dita estratégia seja destinada directamente a impedir ou obstar à sua afirmação no mercado e exceda o que, segundo as circunstâncias, possa considerar-se uma resposta natural do mercado. Artigo 165.º (Exploração da reputação alheia) Considera-se desleal o aproveitamento indevido em benefício próprio ou alheio da reputação empresarial de outrem. Artigo 166.º (Violação de segredos) 1. Considera-se desleal a divulgação ou exploração, sem autorização do titular, de segredos industriais ou quaisquer outros segredos empresariais a que se tenha tido acesso legitimamente, mas com dever de sigilo, ou ilegitimamente, nomeadamente em consequência de alguma das condutas previstas no artigo seguinte. 2. Para os efeitos deste artigo, considera-se como segredo empresarial toda e qualquer informação técnica ou comercial que tenha utilização prática e proporcione benefícios económicos ao titular, que não seja do conhecimento público, e relativamente à qual o titular tomou as medidas de segurança apropriadas a garantir a respectiva confidencialidade. Artigo 167.º (Promoção e aproveitamento de violações contratuais) 1. Considera-se desleal a indução de trabalhadores, fornecedores, clientes e demais obrigados à violação das obrigações contratuais que tenham assumido para com os concorrentes.

A promoção da cessação regular de um contrato ou o aproveitamento de uma infracção contratual alheia, desde que conhecida, em benefício próprio ou de terceiro, reputam-se desleais quando tenham por objecto a difusão ou exploração de um segredo empresarial ou sejam acompanhadas de circunstâncias tais como o engano, a intenção de eliminar um concorrente do mercado ou outras análogas. Artigo 168.º (Exploração da dependência) Considera-se desleal a exploração indevida por um empresário da situação de dependência, que tenha repercussões económicas, em que se encontrem os empresários que sejam seus clientes ou fornecedores, que não disponham de alternativa equivalente para o exercício da sua actividade. Artigo 169.º (Vendas com prejuízo) A venda realizada abaixo do preço de custo ou de aquisição considera-se desleal quando faça parte de uma estratégia dirigida à eliminação de um concorrente ou grupo de concorrentes do mercado. Artigo 170.º (Acção por concorrência desleal) A acção por concorrência desleal deve ser intentada no prazo de um ano a contar da data em que o lesado teve ou podia ter conhecimento da pessoa que praticou os factos que lhe servem de fundamento, mas não depois de decorridos três anos sobre a verificação dos mesmos. Artigo 171.º (Sanções) A sentença que declare a existência de prática de actos de concorrência desleal determinará a proibição da continuação da referida prática e indicará os meios oportunos para eliminar os respectivos efeitos. Artigo 172.º (Ressarcimento do dano) 1. Se os actos de concorrência desleal são praticados dolosa ou culposamente, o autor é obrigado a indemnizar os danos causados. 2. No caso previsto no número anterior pode ser ordenada a publicação da sentença.

16 3. Provada a existência de actos de concorrência desleal, a culpa presume-se. Artigo 173.º (Legitimidade das entidades representativas dos interessados) Quando os actos de concorrência desleal prejudiquem os interesses de uma categoria de interessados, a acção por concorrência desleal pode ser intentada também pelas entidades que representem a referida categoria.
